Terms, Conditions & Special Instructions
- This Purchase Order is issued by PT Nusantara Oceanographic Research Institute for the procurement of oceanographic research equipment and associated services to support the work of the Oceanographer division operating out of Indonesia Jakarta. All items must comply with Indonesian Ministry of Marine Affairs and Fisheries (KKP) import regulations.
- All instruments must arrive at the Indonesia Jakarta delivery location no later than 15 August 2025. Late delivery will incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- The Oceanographer team requires all CTD profilers, ADCPs, and multi-parameter sondes to be factory-calibrated with traceable certificates (NIST or equivalent) prior to shipment. Calibration data sheets must accompany each unit.
- Payment shall be made via bank transfer to the supplier's designated account within 45 days of receipt of a valid tax invoice. The invoice must reference this Purchase Order number (PO-IND-JKT-2025-04872) and include the Indonesia Jakarta delivery confirmation.
- The vendor shall provide a minimum 24-month warranty on all hardware items. During the warranty period, any defective component shall be replaced or repaired at no additional cost, with replacement parts shipped to Indonesia Jakarta within 10 business days.
- Training services (Item 9) must be conducted at the buyer's facility in Indonesia Jakarta. The vendor's technical engineer shall provide hands-on instruction to the Oceanographer research team, covering instrument operation, data acquisition, maintenance procedures, and troubleshooting. Training materials in both English and Bahasa Indonesia are required.
- All data collected using the procured equipment under this Purchase Order shall remain the exclusive intellectual property of PT Nusantara Oceanographic Research Institute. The vendor shall not retain, copy, or transmit any research data generated during the Indonesia Jakarta field campaigns.
- This Purchase Order is subject to Indonesian commercial law. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta under the rules of the Indonesian National Board of Arbitration (BANI).
- The Oceanographer principal investigator reserves the right to inspect all goods upon arrival at the Indonesia Jakarta receiving dock. Any visible damage, missing components, or calibration discrepancies must be reported within 5 business days of delivery.
- This Purchase Order becomes effective upon written acceptance by both parties. No modifications or amendments to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the buyer and the supplier.
