Terms & Conditions
  1. Delivery: All Oceanographer equipment shall be delivered to the Iran Tehran Marine Research Institute facility at 42 Valiasr Street, Tehran, Iran, no later than 30 August 2025. The Seller, Oceanographer International Ltd., assumes full responsibility for international logistics, including air and sea freight to Iran Tehran.
  2. Payment Terms: 30% advance payment upon confirmation of this Purchase Order; 50% upon shipment confirmation and provision of Bill of Lading; 20% upon successful installation, calibration, and acceptance of all Oceanographer instruments at the Iran Tehran site.
  3. Warranty: Oceanographer International Ltd. provides a comprehensive 24-month warranty on all hardware items listed in this Purchase Order. The warranty covers defects in materials and workmanship. Software licenses carry a 12-month defect liability period.
  4. Compliance: All Oceanographer equipment and services shall comply with the technical standards and regulatory requirements of the Islamic Republic of Iran, including those set forth by the Iran Tehran Environmental Protection Agency and the Ministry of Science, Research and Technology.
  5. Professional Oceanographer Services: The Seller shall assign a qualified senior Oceanographer with a minimum of ten (10) years of experience in marine and coastal research to oversee the installation, calibration, and initial operational deployment of all equipment in Iran Tehran. The Oceanographer shall be present on-site for the full 30-day service period.
  6. Intellectual Property: All data generated by the Oceanographer instruments during operation in Iran Tehran shall remain the exclusive property of the Buyer. The Seller shall not retain, replicate, or transmit any operational data without written consent from the Iran Tehran Marine Research Institute.
  7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting trade with Iran Tehran, or international shipping disruptions.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in a mutually agreed neutral jurisdiction.
  9. Acceptance: The Buyer shall have fourteen (14) calendar days from the date of delivery in Iran Tehran to inspect and test all Oceanographer equipment. Failure to report non-conformity within this period shall constitute acceptance of the goods.
