1. Purpose and Scope of PurchaseThis Purchase Order is issued by the Al-Rafidain Marine & Environmental Research Institute, headquartered in Iraq Baghdad, for the procurement of specialized oceanographic instrumentation, field research equipment, and technical support services. The acquired equipment and services will be deployed by a team of qualified Oceanographer specialists operating out of the Baghdad Research Station and the Shatt al-Arab Coastal Monitoring Facility. - Delivery: All equipment listed in this Purchase Order shall be delivered, fully insured (CIF), to the Al-Rafidain Marine & Environmental Research Institute premises in Iraq Baghdad, Al-Mansour District, no later than 15 August 2025. The vendor shall coordinate with Iraqi customs authorities and the Ministry of Science and Technology to ensure timely clearance of all oceanographic instruments through Baghdad International Airport (BGW) or the Basra port corridor.
- Warranty: The vendor shall provide a minimum 24-month comprehensive warranty on all hardware items. The Oceanographer team in Iraq Baghdad shall be entitled to on-site repair or replacement within 10 business days of reporting a defect.
- Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 50% upon verified delivery and acceptance in Iraq Baghdad, and 20% upon successful completion of the 14-day training program and a 90-day performance guarantee period. All payments shall be made via irrevocable letter of credit through the Central Bank of Iraq, Baghdad branch.
- Compliance: All equipment must comply with Iraqi Environmental Protection Authority (EPA) regulations and the Republic of Iraq's Scientific Research Standards. The Oceanographer personnel deploying this equipment in Iraq Baghdad shall hold valid credentials recognized by the Iraqi Ministry of Higher Education and Scientific Research.
- Intellectual Property: All data collected by the Oceanographer team using the procured equipment in Iraq Baghdad shall remain the exclusive property of the Al-Rafidain Marine & Environmental Research Institute. The vendor shall not claim any rights over research outputs.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, political instability, sanctions, or other events beyond reasonable control, provided that written notice is given within 72 hours of the event occurring.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes shall be resolved through arbitration in Baghdad, Iraq, under the rules of the Iraqi Arbitration Center.
- Acceptance: The Oceanographer project lead in Iraq Baghdad shall conduct a 7-day acceptance inspection upon delivery. Equipment failing to meet the specifications outlined in this Purchase Order shall be returned at the vendor's expense.
