All items listed in this Purchase Order shall be delivered to the JIOMS Oceanographer Research Laboratory at 14 Herzl Street, Givat Ram, Israel Jerusalem, 9190500. Delivery is required no later than August 15, 2025. The supplier is responsible for all shipping, insurance, customs clearance (if applicable for imported components), and on-site installation within Israel Jerusalem. A qualified Oceanographer technician from the supplier must be present during installation to verify proper calibration and operational readiness of each instrument. The buyer's Oceanographer research team will conduct a joint acceptance inspection upon delivery.
Payment shall be made in accordance with the following schedule: 30% advance payment upon confirmation of this Purchase Order; 50% upon successful delivery and installation in Israel Jerusalem; and the remaining 20% upon completion of the 30-day operational warranty period. All payments shall be made via bank transfer to the supplier's designated account in New Israeli Shekels (ILS). Late payments shall incur interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
- This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Israel Jerusalem.
- All Oceanographer equipment must carry a minimum 24-month manufacturer's warranty from the date of acceptance in Israel Jerusalem. The warranty covers defects in materials, workmanship, and calibration drift beyond specified tolerances.
- The supplier warrants that all Oceanographer instruments are new, unused, and conform to the specifications outlined in this Purchase Order. No refurbished or second-hand equipment shall be accepted.
- The supplier shall provide full technical documentation, user manuals in English and Hebrew, calibration certificates, and training for up to six (6) Oceanographer research staff members at the Israel Jerusalem facility.
- Intellectual property rights associated with proprietary Oceanographer software and firmware remain with the supplier; however, the buyer is granted a perpetual, non-exclusive license to use such software in connection with the purchased hardware.
- Force majeure events, including but not limited to natural disasters, government sanctions, or civil unrest affecting Israel Jerusalem, shall temporarily suspend delivery obligations without penalty to either party.
- The supplier shall comply with all applicable Israeli environmental regulations, occupational health and safety standards, and import/export control laws when delivering Oceanographer equipment to Israel Jerusalem.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations have been fulfilled in full.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Oceanographer equipment for use in Israel Jerusalem.
