- Delivery: All goods and services under this Purchase Order shall be delivered to the Mediterranean Marine Research Institute facility at 12 HaYarkon Street, Israel Tel Aviv, no later than 30 calendar days from the date of this Purchase Order. The Oceanographer team requires full operational readiness by the start of the autumn research season.
- Payment Terms: Payment shall be made within 45 days of receipt of a valid tax invoice. A 30% advance payment is due upon confirmation of this Purchase Order. The remaining 70% is due upon successful delivery, installation, and acceptance testing at the Israel Tel Aviv site.
- Warranty: The supplier guarantees a minimum 24-month warranty on all oceanographic instruments. The Oceanographer shall be provided with priority technical support and replacement parts during the warranty period.
- Acceptance Testing: Upon delivery, the Oceanographer and a designated engineer from MMRI shall conduct a 72-hour acceptance test. Any equipment failing to meet the specifications outlined in Annex A of this Purchase Order shall be replaced or repaired at the supplier's expense within 10 business days.
- Compliance: All equipment must comply with Israeli Standards (SII), International Maritime Organization (IMO) regulations, and the data-handling protocols of the Israel Oceanographic and Limnological Research (IOLR) network.
- Intellectual Property: All data collected by the Oceanographer using the procured equipment shall remain the exclusive property of the Mediterranean Marine Research Institute. The supplier shall not retain copies of any oceanographic datasets.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, government restrictions, or disruptions to port operations at the Port of Tel Aviv, provided that written notice is given within 5 business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes shall be resolved by the competent courts in Tel Aviv, Israel.
- Confidentiality: The supplier acknowledges that the research objectives of the Oceanographer involve sensitive environmental data. All personnel involved in the fulfillment of this Purchase Order must sign a Non-Disclosure Agreement prior to commencing work.
