Delivery of all oceanographic instruments is required no later than 15 August 2025 to allow the Oceanographer adequate time for pre-deployment testing before the autumn survey season commences in the Gulf of Naples. The Seller is responsible for all customs clearance, import duties, and VAT (22% Italian standard rate) applicable to the shipment into Italy. Packaging must be marine-grade, shock-absorbent, and clearly labelled with the Purchase Order number PO-NAP-2025-0487.
- 30% Advance Payment: EUR 345,075.00 due within 15 business days of acceptance of this Purchase Order, payable by wire transfer to the Seller's designated bank account in GBP, converted at the ECB reference rate on the day of transfer.
- 50% on Delivery: EUR 575,125.00 due within 30 calendar days of confirmed delivery and successful inspection of all items at the Naples facility.
- 20% on Commissioning: EUR 230,050.00 due within 30 calendar days of completion of the on-site installation, calibration, and training services in Naples.
- All payments are subject to the Buyer's standard 30-day invoice verification process. Late payments shall accrue interest at 1.5% per month as stipulated under Italian Civil Code Article 1284.
Upon arrival in Naples, the Buyer's Oceanographer and a designated quality-control engineer shall inspect all delivered equipment within ten (10) working days. Any item found to be damaged, defective, or non-conforming to the specifications outlined in this Purchase Order shall be rejected in writing. The Seller shall, at its own expense, repair or replace the rejected item within twenty-one (21) calendar days. Failure to remedy a rejected item within the stipulated period entitles the Buyer to cancel the affected line item and receive a pro-rata refund.
This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any dispute arising out of or in connection with this Purchase Order shall be resolved by binding arbitration seated in Naples, Italy, under the rules of the Italian Chamber of Commerce (Camera di Commercio di Napoli). The language of arbitration shall be English. Both parties waive their right to pursue litigation in any court of general jurisdiction.
All oceanographic data collected by the Oceanographer using the equipment procured under this Purchase Order shall remain the exclusive intellectual property of the Istituto di Oceanografia Applicata. The Seller shall not access, replicate, or disclose any research data without prior written consent.
