Important Note: All equipment must be delivered, installed, and fully operational at the OGS laboratory and port facility in Italy Rome no later than 15 August 2025. The Oceanographer has scheduled the first field deployment for 1 September 2025, and any delay in delivery will result in a penalty of 1.5% of the total Purchase Order value per calendar day of delay, as stipulated in Article 14 of the Italian Civil Code (Codice Civile, Art. 1456).

Delivery shall be made to the OGS port facility, Via di San Paolo, 12, 00185 Rome, Italy. The supplier is responsible for all transportation, insurance, and customs clearance (where applicable) up to the point of delivery in Italy Rome. Installation and commissioning shall be carried out on-site by qualified Telemetria Oceanica S.r.l. technicians in the presence of the Oceanographer or her designated deputy. A signed Installation Acceptance Certificate, countersigned by the Oceanographer, shall constitute final acceptance of the equipment under this Purchase Order.

  • 30% advance payment (€214,128.30) due within 10 business days of the signing of this Purchase Order, by bank transfer to the supplier's account in Italy Rome.
  • 50% upon delivery and installation (€356,880.50) due within 15 business days of the signed Installation Acceptance Certificate.
  • 20% final payment (€142,752.20) due within 30 days after the successful completion of the 48-hour supervised trial run and the Oceanographer's written confirmation of full operational readiness.
  • All payments shall be made in Euro (EUR) via SEPA bank transfer. Late payments shall accrue interest at the rate prescribed by Italian law (Legge 192/1998).

The supplier warrants that all instruments and components delivered under this Purchase Order are new, free from defects, and conform to the technical specifications approved by the Oceanographer. A minimum 24-month warranty from the date of acceptance is provided for all hardware. All equipment must carry CE marking and comply with EU Directive 2014/33/EU (Pressure Equipment Directive) where applicable. The Oceanographer reserves the right to reject any item that fails to meet the agreed specifications during the commissioning phase in Italy Rome.

This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Rome, Italy. The parties agree to attempt good-faith mediation before initiating any formal legal proceedings.
