This Purchase Order is issued by the Abidjan Oceanographic Research Institute (AORI) to procure specialized marine instrumentation and laboratory equipment for the deployment and operation of a senior Oceanographer and supporting research team in the coastal waters surrounding Ivory Coast Abidjan. All items specified in this Purchase Order shall be delivered on a Cost, Insurance, and Freight (CIF) basis to the Port of Abidjan, Ivory Coast Abidjan. The supplier is responsible for all packaging, crating, and marine-grade protection of sensitive oceanographic instruments during transit. Delivery is required no later than 15 August 2025. Upon arrival at the Vridi container terminal, the supplier's designated logistics agent shall coordinate with the AORI customs broker to complete all import documentation, including the Bill of Lading, Certificate of Origin, and the Republic of Côte d'Ivoire import permit for scientific and oceanographic research equipment. The lead Oceanographer assigned to this project, Dr. Aïcha Koné, shall be present at the port to oversee the unloading, inspection, and acceptance of all delivered items.

Payment for this Purchase Order shall be made via irrevocable Letter of Credit (LC) issued by the Bank of Côte d'Ivoire, Abidjan branch, in favor of DeepSea Instruments & Oceanographic Solutions Ltd. The payment schedule is as follows: forty percent (40%) upon issuance of the LC; thirty-five percent (35%) upon presentation of the Bill of Lading and shipping documents confirming vessel departure; and twenty-five percent (25%) upon successful delivery, installation, and calibration of all equipment at the AORI facility in Ivory Coast Abidjan, confirmed by a signed acceptance certificate from the project Oceanographer. All payments shall be denominated in United States Dollars (USD).

6.1 This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

6.2 All oceanographic instruments must carry a minimum two-year manufacturer's warranty from the date of installation in Ivory Coast Abidjan. Spare parts and consumables for the first twelve months of operation are included at no additional cost.

6.3 The supplier shall provide on-site training for a minimum of five (5) working days at the AORI laboratory in Ivory Coast Abidjan, covering operation, maintenance, and data processing of all delivered systems. Training shall be conducted in both English and French to accommodate the full research team.

6.4 The supplier warrants that all equipment is new, unused, and free from defects. Any item found to be non-conforming upon inspection at the Port of Abidjan shall be replaced at the supplier's sole expense within thirty (30) calendar days.

6.5 The supplier shall comply with all environmental regulations of the Republic of Côte d'Ivoire, including the prohibition of mercury-containing instruments and the proper disposal of any hazardous materials associated with oceanographic sampling.

6.6 Disputes arising from this Purchase Order shall be resolved by arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Abidjan, Ivory Coast Abidjan.

6.7 This Purchase Order shall not be modified, amended, or supplemented except by a written addendum signed by both parties.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of oceanographic research equipment for use by the AORI Oceanographer team in Ivory Coast Abidjan.
