All physical equipment shall be delivered to the Kyoto Institute of Marine & Oceanographic Sciences, 45-1 Katsura-Kagayama, Nishikyo-ku, Japan Kyoto 615-8547, no later than August 15, 2025. The supplier shall coordinate with the Lead Oceanographer to schedule the on-site installation and calibration window. The Oceanographer and his designated research assistants must be present during all installation and training sessions. The supplier is responsible for all freight, insurance, and customs clearance (if applicable) to the Japan Kyoto delivery address. A minimum of 10 business days' written notice is required before any delivery to the Japan Kyoto campus.
Payment shall be made in Japanese Yen (JPY) via bank transfer to the supplier's designated account. The payment schedule for this Purchase Order is as follows:
- 30% advance payment (JPY 13,125,000) due within 10 business days of the supplier's written acknowledgment of this Purchase Order.
- 50% upon delivery and acceptance (JPY 21,875,000) due within 20 business days after the Lead Oceanographer signs the Delivery Acceptance Certificate at the Japan Kyoto facility.
- 20% final payment (JPY 8,750,000) due within 30 business days after successful completion of the 5-day training and calibration engagement.
Late payments shall accrue interest at a rate of 1.5% per month, calculated from the due date. All invoices must reference this Purchase Order number (PO-JP-KYO-2025-04872).
- This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
- The supplier warrants that all oceanographic instruments shall conform to the specifications outlined in this Purchase Order and shall be free from defects in materials and workmanship for a period of 24 months from the date of acceptance at the Japan Kyoto facility.
- The Lead Oceanographer, Dr. Haruki Tanaka, shall serve as the sole authorized representative of the Buyer for all technical acceptance, inspection, and sign-off activities related to this Purchase Order.
- The supplier shall provide full technical documentation, including user manuals, calibration certificates, and safety data sheets, in both Japanese and English, delivered to the Japan Kyoto office prior to equipment installation.
- Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to typhoons, earthquakes, or government-mandated closures affecting the Japan Kyoto region.
- The supplier shall maintain full insurance coverage for all equipment in transit to the Japan Kyoto delivery address and shall provide a certificate of insurance upon request.
- All intellectual property related to the custom data integration software (Item 007) shall be jointly owned by the Buyer and the Supplier, with the Buyer retaining exclusive usage rights for oceanographic research purposes at the Japan Kyoto campus.
- This Purchase Order may only be amended in writing, signed by both the Lead Oceanographer (on behalf of the Buyer) and the Sales Director (on behalf of the Supplier).
By signing below, both parties acknowledge and agree to all terms, conditions, line items, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of oceanographic research equipment and services for use by the Lead Oceanographer at the Kyoto Institute of Marine & Oceanographic Sciences in Japan Kyoto.
