All equipment and materials covered under this Purchase Order shall be delivered to the Osaka Marine Research Institute, 4-2-8 Chuo-ku, Osaka 541-0045, Japan Osaka, no later than August 15, 2025. The Seller is responsible for all packaging, crating, and international freight arrangements to ensure safe transit to Japan Osaka. Delivery terms are DDP (Delivered Duty Paid) Japan Osaka. The Seller must provide all necessary documentation for Japanese customs clearance, including certificates of origin, material safety data sheets, and compliance declarations with Japanese electrical and marine equipment standards (JIS).
Upon arrival in Japan Osaka, a joint inspection by the Buyer's Oceanographer and the Seller's technical representative shall be conducted within five (5) business days to verify the completeness and operational readiness of all delivered items.
Payment for this Purchase Order shall be made as follows: 40% ($172,343.60) due upon execution of this Purchase Order; 40% ($172,343.60) due upon confirmed delivery and successful inspection in Japan Osaka; and 20% ($86,171.80) due within thirty (30) days following the completion of the initial calibration and commissioning period. All payments shall be made via wire transfer to the Seller's designated bank account in US Dollars. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan, under the rules of the Japan Commercial Arbitration Association. The Seller warrants that all oceanographic instruments and equipment supplied under this Purchase Order are new, free from defects, and fully compliant with the specifications required for use by a professional Oceanographer in the Japan Osaka marine environment. The Seller shall provide a minimum two-year warranty on all hardware items and a three-year warranty on software licenses. The Oceanographer designated under this Purchase Order shall have full access to all technical documentation, user manuals, and training materials in both English and Japanese.
The Seller acknowledges that the equipment procured under this Purchase Order will be deployed in sensitive marine ecosystems around Japan Osaka and agrees to comply with all environmental protection regulations enforced by the Japanese government. No hazardous materials shall be used in the construction or packaging of any item without prior written approval from the Buyer.
