TERMS AND CONDITIONS
  1. Scope and Performance: The Oceanographer shall perform all services exclusively within the geographic boundaries of Japan Tokyo as defined in the attached Statement of Work. All fieldwork, data collection, and reporting activities shall be conducted in compliance with Japanese environmental regulations, the Ministry of the Environment guidelines, and the Tokyo Metropolitan Government's marine research permits.
  2. Timeline: The Oceanographer shall commence fieldwork in Japan Tokyo no later than July 1, 2025, and shall complete all deliverables, including the final Oceanographic Assessment Report, by November 30, 2025. Any delays must be communicated to PMERI in writing at least five (5) business days in advance.
  3. Payment Terms: Payment for this Purchase Order shall be made in three (3) installments: 30% upon execution of this Purchase Order and commencement of work in Japan Tokyo; 40% upon completion of all fieldwork and submission of interim data; and 30% upon acceptance of the final Oceanographic Assessment Report by PMERI. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account specified by the Oceanographer.
  4. Qualifications: The Oceanographer must hold a minimum of a Master's degree in Oceanography, Marine Science, or a closely related discipline, and must possess at least eight (8) years of professional experience in coastal and estuarine oceanographic research. The Oceanographer must demonstrate prior experience working in Japanese waters or equivalent East Asian marine environments.
  5. Equipment and Materials: All specialized oceanographic instruments, sampling equipment, and analytical tools required for the work in Japan Tokyo shall be provided and maintained by the Oceanographer at no additional cost to PMERI, unless otherwise specified in a written amendment to this Purchase Order.
  6. Intellectual Property: All data, reports, maps, and findings generated by the Oceanographer under this Purchase Order for the Japan Tokyo project shall become the exclusive property of PMERI upon full payment. The Oceanographer retains the right to publish peer-reviewed academic papers, provided that PMERI is given a thirty (30) day prior review period.
  7. Insurance and Liability: The Oceanographer shall maintain comprehensive professional liability insurance and marine operations insurance with a minimum coverage of JPY 50,000,000 for the duration of the engagement in Japan Tokyo. The Oceanographer shall be solely responsible for any damage to marine equipment or environmental incidents arising from negligence during fieldwork.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Oceanographer shall be compensated for all work completed and documented up to the termination date, and all collected data pertaining to Japan Tokyo shall be delivered to PMERI.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to the Oceanographer's services in Japan Tokyo shall be resolved through arbitration in Tokyo under the rules of the Japan Commercial Arbitration Association.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, typhoons, government mandates, or other events beyond reasonable control, particularly those affecting operations in Japan Tokyo. Affected parties must notify the other within 48 hours of the event.
APPROVAL AND AUTHORIZATION

This Purchase Order is issued under the authority of the PMERI Board of Directors and is binding upon both parties upon signature. The Oceanographer acknowledges receipt of this Purchase Order and agrees to all terms, conditions, and specifications as outlined herein for the execution of oceanographic services in Japan Tokyo.
