• Retention: 5% of the total Purchase Order value (USD 10,937.50) shall be retained for a period of ninety (90) days following final acceptance, to cover any warranty claims or corrective actions.

• This Purchase Order is governed by the laws of the Republic of Kazakhstan and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
• The Oceanographer shall comply with all environmental, safety, and occupational health regulations in force in Kazakhstan Almaty, including those issued by the Ministry of Ecology, Geology and Natural Resources of the Republic of Kazakhstan.
• All data collected by the Oceanographer during the term of this Purchase Order shall be the intellectual property of the Almaty Regional Water Research Institute. • The supplier warrants that all equipment is new, free from defects, and conforms to the specifications stated in this Purchase Order. The warranty period is twenty-four (24) months from the date of acceptance in Kazakhstan Almaty.
• In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Almaty, Kazakhstan.
• Force majeure events, including but not limited to natural disasters, government sanctions, or border closures affecting Kazakhstan Almaty, shall extend delivery and performance deadlines by a period equivalent to the duration of the force majeure event.
