2. SCOPE AND PURPOSEThis Purchase Order is issued by the East Africa Marine & Water Research Institute, headquartered in Kenya Nairobi, to procure a comprehensive suite of oceanographic instrumentation, data-acquisition systems, and the professional services of a certified Oceanographer for a twelve-month research programme. The research programme, titled "Coastal and Inland Water Column Dynamics of the Indian Ocean and Lake Victoria Basin", will be conducted with primary operations based at the EAMWRI laboratory and field station in Nairobi, Kenya, with supplementary field deployments along the Kenyan coastline and at Lake Victoria. The Oceanographer engaged under this Purchase Order shall serve as the lead technical authority, overseeing all instrument calibration, data interpretation, and scientific reporting for the duration of the contract.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 of Kenya.
- Delivery: All physical equipment shall be delivered DDP (Delivered Duty Paid) to the EAMWRI facility at Karen Road, Nairobi, Kenya. The Seller is responsible for all shipping, customs clearance, and import duties within Kenya. Delivery timelines are as specified in Section 3 above.
- Oceanographer Engagement: The lead Oceanographer named under this Purchase Order shall be a qualified marine scientist holding a minimum of a Doctorate in Oceanography or a closely related discipline, with no fewer than ten (10) years of professional field experience. The Oceanographer shall be physically present in Kenya Nairobi for a minimum of twenty (20) working days per month and shall report directly to the EAMWRI Director of Research. The Oceanographer shall produce a written technical progress report by the fifth (5th) business day of each month.
- Payment Schedule: Payment shall be made in three (3) instalments: (a) 30% upon signed acceptance of this Purchase Order; (b) 50% upon confirmed delivery and successful commissioning of all equipment at the Nairobi site; (c) 20% upon completion of the twelve-month service period and submission of the final research report by the Oceanographer. All payments shall be made via bank transfer to the Seller's designated account in Kenya Shillings (KES).
- Warranty: All equipment shall carry a minimum twelve (12) month manufacturer's warranty from the date of delivery in Nairobi. The Seller shall replace or repair any defective component at no additional cost to the Buyer within thirty (30) days of a written defect notification.
- Intellectual Property: All data collected, analyses performed, and reports authored by the Oceanographer during the term of this Purchase Order shall be the exclusive property of EAMWRI, Nairobi, Kenya. The Seller and the Oceanographer shall not publish, disclose, or commercially exploit any research findings without prior written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and equipment delivered up to the termination date. The Oceanographer shall ensure a smooth handover of all data, instruments, and documentation to the Buyer within thirty (30) days of termination.
- Compliance: The Seller and the Oceanographer shall comply with all applicable Kenyan environmental regulations, the Kenya Marine and Fisheries Research Institute (KMFRI) operational guidelines, and the National Environment Management Authority (NEMA) permits for any fieldwork conducted in Kenyan waters.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or epidemics, provided that the affected party notifies the other in writing within seven (7) days of the event.
