This Purchase Order is issued by the Kuwait Institute for Scientific Research to formally engage the services of a qualified Oceanographer and to procure associated oceanographic instrumentation and field equipment. The engagement is specifically designated for the conduct of comprehensive marine environmental monitoring, water quality assessment, and benthic habitat surveys along the coastal waters adjacent to Kuwait, Kuwait City. The Oceanographer shall be responsible for designing, executing, and reporting on all phases of the marine research programme as outlined in the attached Statement of Work (SOW-2025-114). This Purchase Order constitutes a binding agreement between the parties and supersedes all prior correspondence, memoranda of understanding, and preliminary quotations related to this oceanographic engagement in Kuwait, Kuwait City.

All fieldwork, equipment delivery, and on-site activities under this Purchase Order shall be conducted in and around the coastal waters of Kuwait, Kuwait City, specifically within the designated marine research zone extending from the Kuwait City breakwater to the Shuwaikh industrial port area. The Oceanographer and supporting personnel shall report to the KISR Marine Laboratory, located in Safat, Kuwait, Kuwait City, for all equipment handovers, briefings, and final debriefings. All procured equipment listed in Section 3 shall be delivered to the KISR premises in Kuwait, Kuwait City no later than 28 June 2025.

  1. This Purchase Order is governed by the laws of the State of Kuwait and shall be interpreted in accordance with Kuwaiti commercial and procurement regulations.
  2. The Oceanographer shall comply with all environmental permits issued by the Kuwait Environment Public Authority (KEPA) for marine sampling and vessel operations in the waters of Kuwait, Kuwait City.
  3. Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon completion of fieldwork, and 30% upon delivery and acceptance of the final technical report in Kuwait, Kuwait City.
  4. All equipment procured under this Purchase Order shall carry a minimum manufacturer warranty of 24 months and shall be serviced at the supplier's expense during the warranty period.
  5. The Oceanographer shall maintain full professional liability insurance with a minimum coverage of KWD 500,000 for the duration of the engagement in Kuwait, Kuwait City.
  6. Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not valid under Kuwaiti law.
  7. Confidentiality: All data, findings, and proprietary methods developed by the Oceanographer during this engagement in Kuwait, Kuwait City shall remain the exclusive property of KISR unless otherwise agreed in writing.
  8. Dispute resolution: Any disputes arising from this Purchase Order shall be settled through arbitration in Kuwait, Kuwait City in accordance with the Kuwait Arbitration Law.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Oceanographer confirms readiness to commence work in Kuwait, Kuwait City within ten (10) business days of the issue date stated above.
