1. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by the Malaysian Oceanographic Research Institute (MORI) to formally authorize and request the procurement of specialized oceanographic research services, equipment, and technical consultancy to be rendered by a certified Oceanographer and their supporting team. The scope of work under this Purchase Order encompasses the comprehensive study of marine ecosystems, water quality assessment, and bathymetric surveying along the coastal waters adjacent to Malaysia Kuala Lumpur, including the Strait of Malacca approach, the Klang Strait, and the offshore waters of the Selangor coastline. The Oceanographer engaged under this Purchase Order shall conduct all fieldwork, data collection, laboratory analysis, and reporting activities within the jurisdiction of Malaysia Kuala Lumpur and its surrounding maritime zones as defined by the Malaysian Maritime Authority.

3. TERMS AND CONDITIONS

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services and goods specified herein shall be delivered and performed in accordance with the standards set by the Malaysian Department of Fisheries and the Malaysian Oceanographic Research Institute.

3.2 The Oceanographer and all supporting personnel engaged under this Purchase Order must hold valid professional certifications recognized by the Malaysian Academy of Sciences and must comply with all environmental protection regulations applicable in Malaysia Kuala Lumpur and the broader Malaysian maritime jurisdiction.

3.3 Payment terms: 30% advance payment upon acceptance of this Purchase Order, 40% upon completion of fieldwork in Malaysia Kuala Lumpur coastal zones, and 30% upon delivery and acceptance of the final report by the Buyer's review committee.

3.4 The Oceanographer shall submit weekly progress reports to the Buyer's project manager stationed in Malaysia Kuala Lumpur. Any deviation from the approved research plan must be communicated in writing at least five (5) business days prior to the proposed change.

3.5 All data collected by the Oceanographer during the execution of this Purchase Order shall be the exclusive property of the Buyer. The Seller and the Oceanographer shall not publish, distribute, or disclose any findings without prior written consent from MORI, Malaysia Kuala Lumpur.

3.6 The Seller warrants that all equipment supplied under this Purchase Order shall be in full working condition, properly calibrated, and compliant with Malaysian Standards (MS) specifications. Any defective equipment must be replaced within forty-eight (48) hours at the Seller's expense.

3.7 Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed maritime restrictions in Malaysia Kuala Lumpur, or other events beyond reasonable control. Affected parties must notify the other within seventy-two (72) hours of the occurrence.

3.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Malaysia Kuala Lumpur under the rules of the Asian International Arbitration Centre (AIAC).

3.9 The Oceanographer shall maintain comprehensive professional indemnity insurance with a minimum coverage of MYR 5,000,000 for the duration of the engagement under this Purchase Order.
