1. Scope of Work: This Purchase Order authorizes the procurement of professional Oceanographer services and associated oceanographic equipment for use by the Instituto de Investigaciones Marinas del Centro. All services shall be rendered primarily in Mexico, Mexico City, with supplementary field operations as specified in the project scope. The Oceanographer(s) engaged under this Purchase Order shall comply with all applicable Mexican federal and state regulations governing marine research and environmental data collection.
2. Compliance: The supplier warrants that all Oceanographer personnel assigned to this contract hold valid professional certifications recognized by the Mexican Council of Professional Engineers and Scientists (COPARMEX) and possess the requisite academic credentials in Oceanography or a closely related marine science discipline. All equipment delivered to Mexico, Mexico City shall meet NOM (Norma Oficial Mexicana) standards for scientific instrumentation.
3. Payment Schedule: Payment shall be made in three installments: 40% upon execution of this Purchase Order, 40% upon delivery and acceptance of all equipment at the Mexico, Mexico City facility, and 20% upon final completion of the Oceanographer-led assessment and submission of the final report. All payments shall be processed in Mexican Pesos (MXN) via bank transfer to the account designated by the supplier.
4. Intellectual Property: All data, reports, and findings generated by the Oceanographer(s) under this Purchase Order shall become the exclusive property of the buyer. The supplier retains no rights to publish or distribute research outputs without prior written consent from the IIMC Procurement Director in Mexico, Mexico City.
5. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall compensate the supplier for all Oceanographer services rendered and equipment delivered up to the termination date, less any applicable penalties as defined in the master service agreement.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States. Any disputes arising from this Purchase Order shall be resolved through arbitration in Mexico, Mexico City, in accordance with the rules of the Mexican Chamber of Commerce.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, methodologies, and project details associated with this Oceanographer engagement in Mexico, Mexico City. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
