This Purchase Order is issued by the Institut Océanographique de Casablanca to procure specialized oceanographic instrumentation, sensor arrays, and technical support services required for the ongoing marine research program led by our principal Oceanographer, Dr. Leila Benkirane. This Purchase Order covers a twelve-month research cycle commencing 1 September 2025 and concluding 31 August 2026, during which the Oceanographer and her team will conduct comprehensive bathymetric surveys, water column profiling, and benthic ecosystem assessments in the waters off Morocco Casablanca.

All equipment covered under this Purchase Order shall be delivered to the Institut Océanographique de Casablanca, located at 12, Boulevard d'Anfa, Morocco Casablanca, no later than 15 August 2025. The supplier is responsible for all packaging, crating, and marine-grade protection of sensitive oceanographic instruments during transit. Upon arrival in Morocco Casablanca, the supplier's designated marine engineer shall remain on-site for a minimum of ten (10) working days to assist the Oceanographer and her research team with installation, initial calibration, and operational verification of all systems. The Oceanographer shall sign a delivery and acceptance certificate upon satisfactory completion of all installation tasks.

  • Advance Payment: 30% of the total Purchase Order value (EUR 246,210.00) shall be remitted via international wire transfer within fifteen (15) business days of mutual signature of this document.
  • Delivery Payment: 50% of the total value (EUR 410,350.00) shall be due within thirty (30) days of confirmed delivery and acceptance at Morocco Casablanca.
  • Final Payment: The remaining 20% (EUR 164,140.00) shall be paid within sixty (60) days of the completion of the on-site calibration and training services.
  • All payments shall be made in Euros (EUR) to the supplier's designated bank account. Late payments shall incur interest at a rate of 1.5% per month, calculated from the due date.

The supplier warrants that all oceanographic instruments and systems delivered under this Purchase Order shall be new, free from defects in material and workmanship, and shall conform to the specifications agreed upon by the Oceanographer and the supplier's technical team. A minimum two-year warranty is provided on all electronic and mechanical components. All equipment must comply with the environmental and maritime regulations of the Kingdom of Morocco, as well as the International Maritime Organization (IMO) standards applicable to research vessels operating in the waters of Morocco Casablanca. The supplier shall provide all necessary documentation, including certificates of conformity, safety data sheets, and user manuals in both English and French, to facilitate operations by the Oceanographer's multilingual research team.

Either party may cancel this Purchase Order by providing sixty (60) days' written notice. In the event of cancellation by the buyer after the advance payment has been made, the supplier shall be entitled to retain the advance payment as liquidated damages. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration designated as Casablanca, Morocco. The governing law for this agreement shall be the commercial law of the Kingdom of Morocco, with specific reference to maritime and international trade provisions applicable to Morocco Casablanca.

This Purchase Order is authorized and executed by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document pertaining to the procurement of oceanographic equipment and services for the Oceanographer's research program in Morocco Casablanca.
