- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Nepal, specifically the Public Procurement Act, 2064 (2007) and its subsequent amendments. All disputes arising from this Purchase Order shall be resolved through the competent courts in Nepal Kathmandu.
- Scope of Oceanographer Services: The Oceanographer engaged under this Purchase Order shall provide all technical expertise, field supervision, data analysis, and written reports in accordance with the standards set by the International Oceanographic Commission (IOC) and the Nepal Kathmandu Oceanographic Research Institute's internal quality assurance protocols. The Oceanographer shall maintain professional liability insurance with a minimum coverage of NPR 10,000,000 for the duration of the engagement.
- Delivery and Acceptance: All equipment and materials shall be delivered to the NKORI premises at Baneshwor Marg, Kathmandu, Nepal. The Buyer shall have a period of fourteen (14) calendar days from the date of delivery to inspect and accept or reject the goods. Rejection must be communicated in writing with specific reasons for non-conformance.
- Payment Terms: Payment shall be made in three installments: (a) 30% advance payment upon signed acceptance of this Purchase Order; (b) 50% upon successful delivery and acceptance of all equipment and completion of 75% of the Oceanographer's fieldwork hours; (c) 20% upon final submission of the comprehensive technical report and completion of the training workshop. All payments shall be made via bank transfer to the account specified by the Seller in Nepal Kathmandu.
- Intellectual Property: All data, reports, and research outputs generated by the Oceanographer under this Purchase Order shall become the exclusive property of the Nepal Kathmandu Oceanographic Research Institute. The Oceanographer retains the right to publish findings in peer-reviewed journals, subject to a 90-day prior review period by the Institute.
- Warranty: All oceanographic instruments shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of delivery. The Oceanographer's professional services carry a warranty of accuracy and compliance for a period of twelve (12) months.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters (including earthquakes, floods, or landslides common to the Nepal Kathmandu region), government actions, or other events beyond reasonable control, provided that the affected party notifies the other within seven (7) days of the occurrence.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, methodologies, and financial terms contained in this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and equipment delivered up to the date of termination. The Oceanographer shall return all Institute property and data within fourteen (14) days of the termination notice.
- Compliance: The Oceanographer and all subcontractors shall comply with all applicable environmental regulations of Nepal, including the Environment Protection Act, 2076 (2019), and shall obtain all necessary permits for fieldwork in protected areas around Nepal Kathmandu.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Oceanographer services and oceanographic equipment as described herein, to be executed in Nepal Kathmandu.
