- This Purchase Order constitutes a binding agreement between Tasman Marine Research Institute Ltd. (hereinafter "the Buyer") and Dr. Elena Marsh, Oceanographer, Pacific Oceanographic Consultancy (hereinafter "the Seller / Oceanographer") for the provision of oceanographic research services and equipment as detailed in the line items above.
- All fieldwork, data collection, and survey operations under this Purchase Order shall be conducted within the maritime jurisdiction of New Zealand Auckland, specifically within the Hauraki Gulf, Waitematā Harbour, and adjacent coastal waters as defined by the Auckland Council marine zoning plan.
- The Oceanographer shall hold all necessary professional certifications, including a valid New Zealand Maritime Safety Authority (MSA) endorsement for oceanographic vessel operations and a current Auckland Council marine research permit (Reference: AKL-MR-2025-3341).
- Delivery of all physical equipment (Items 03 and 07) shall be made to the Buyer's facility at Level 12, 25 Customs Street West, Auckland 1010, New Zealand. Risk of loss transfers to the Buyer upon signed delivery receipt at the New Zealand Auckland premises.
- Payment shall be made via direct bank transfer to the Oceanographer's nominated account within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (PO-NZ-AKL-2025-04782). Late payments shall accrue interest at the rate of 1.5% per month as per New Zealand commercial practice.
- The Oceanographer warrants that all data, reports, and deliverables produced under this Purchase Order shall be original, accurate, and free from intellectual property infringement. All raw and processed data shall be delivered in open formats (CSV, NetCDF, GeoTIFF) to the Buyer's data repository in New Zealand Auckland within five (5) business days of fieldwork completion.
- Any variation to the scope of work, additional sampling stations, or extended survey duration must be agreed in writing via a formal Purchase Order amendment signed by both parties prior to commencement of the additional work.
- The Oceanographer shall maintain comprehensive professional indemnity insurance (minimum NZD $10,000,000) and public liability insurance (minimum NZD $20,000,000) for the duration of this Purchase Order, with certificates of insurance provided to the Buyer prior to the start date.
- This Purchase Order is governed by and shall be construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through mediation in Auckland, New Zealand, in accordance with the New Zealand Disputes Resolution Act 2010, before any litigation is commenced in the District Court of Auckland.
- Confidentiality: Both parties agree that all data, methodologies, and findings generated under this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without prior written consent, except as required by New Zealand law or Auckland Council reporting obligations.
