- Delivery: All equipment referenced in this Purchase Order shall be delivered to the Wellington Harbour Marine Operations Facility, 12 Kelburn Parade, New Zealand Wellington, no later than 15 August 2025. The Oceanographer, Dr. Aroha Whitfield, or her designated delegate, shall be present at the time of delivery to inspect and sign the goods receipt.
- Payment Terms: Payment shall be made in accordance with the following schedule: 30% deposit upon acceptance of this Purchase Order; 50% upon delivery and successful inspection at New Zealand Wellington; and the remaining 20% upon completion of calibration, commissioning, and operator training for the Oceanographer. All payments shall be made via bank transfer to the supplier's designated account in New Zealand dollars (NZD).
- Warranty: All instruments shall carry a minimum 24-month manufacturer's warranty from the date of commissioning. The Oceanographer shall be the primary point of contact for any warranty claims arising during the operational period in New Zealand Wellington and surrounding waters.
- Compliance: All equipment must comply with the New Zealand Maritime Rules, the Ministry for the Environment's guidelines for marine research operations, and the specific operational requirements of the Oceanographer conducting deep-water surveys in the Tasman Sea and Cook Strait regions adjacent to New Zealand Wellington.
- Training: The supplier shall provide a minimum of five (5) full days of on-site training for the Oceanographer and up to four (4) support technicians at the New Zealand Wellington facility. Training shall cover operation, data acquisition, maintenance, and emergency procedures for all systems listed in this Purchase Order.
- Intellectual Property: All data collected by the Oceanographer using the equipment procured under this Purchase Order shall remain the sole property of Te Tai Okeano Marine Research Institute, New Zealand Wellington.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved under the laws of New Zealand, with jurisdiction vested in the District Court of New Zealand Wellington.
- Force Majeure: Neither party shall be liable for delays caused by adverse weather conditions affecting the Wellington Harbour, natural disasters, or government-mandated closures in New Zealand Wellington.
This Purchase Order is authorised for execution by the undersigned on behalf of Te Tai Okeano Marine Research Institute, New Zealand Wellington. The Oceanographer named herein confirms that the equipment and services specified are necessary for the continuation of the Southern Ocean Research Programme and that the specifications meet the operational requirements of the field survey.
