TERMS AND CONDITIONS- This Purchase Order is governed by the laws of the Federal Republic of Nigeria and the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable.
- The Oceanographer and all supporting personnel must obtain valid Nigerian work permits, research visas, and NIMASA clearance before commencing any fieldwork in Nigeria Lagos. All visa and permit costs are included in the line item pricing above.
- All oceanographic equipment listed in this Purchase Order must be delivered to the Deepwater Marine Research & Consulting Ltd. facility at 14B Admiralty Way, Victoria Island, Nigeria Lagos, no later than 15 July 2025. Late delivery shall incur a penalty of 1.5% of the equipment value per calendar day.
- The Oceanographer shall comply with all environmental protection regulations issued by the Federal Ministry of Environment, the Lagos State Ministry of Environment, and the Nigerian Ports Authority for operations within the Nigeria Lagos maritime jurisdiction.
- Payment shall be made via irrevocable letter of credit through a Nigerian commercial bank within 30 days of receipt of a valid tax invoice. A 20% advance payment is due upon execution of this Purchase Order.
- All data collected during the survey in Nigeria Lagos shall be the exclusive intellectual property of Deepwater Marine Research & Consulting Ltd. The Oceanographer and AOSI retain no rights to publish, distribute, or commercially exploit the raw or processed data without written consent.
- Warranty: All equipment is warranted for a minimum of 24 months from the date of delivery in Nigeria Lagos. The Oceanographer's professional services are warranted to meet the scientific standards outlined in the attached Statement of Work (Annex A).
- Force majeure events, including but not limited to maritime blockades, government-imposed research moratoriums in Nigeria Lagos, or severe weather conditions preventing safe vessel operations, shall extend delivery timelines proportionally.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations are fulfilled or until 12 July 2025, whichever occurs first.
