- Delivery: All items listed in this Purchase Order shall be delivered to the Oceanographic Sciences Centre, NUST, located in Pakistan Islamabad, within sixty (60) calendar days from the date of this Purchase Order. The supplier shall bear all shipping, insurance, and customs clearance costs associated with delivery to Pakistan Islamabad.
- Payment Terms: Payment shall be made in two installments. Fifty percent (50%) shall be due upon confirmation of this Purchase Order, and the remaining fifty percent (50%) shall be due upon successful delivery, installation, and acceptance of all Oceanographer equipment at the Pakistan Islamabad facility. Payment shall be processed via international wire transfer to the supplier's designated bank account.
- Warranty: The supplier guarantees that all Oceanographer equipment shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery in Pakistan Islamabad. Any defective components shall be replaced or repaired at no additional cost to the buyer.
- Compliance: All equipment must comply with the standards set by the Pakistan Standards and Quality Control Authority (PSQCA) and the relevant international oceanographic research guidelines. The Oceanographer instruments must meet ISO 17025 calibration standards.
- Training: The supplier shall provide on-site training for the Oceanographer research team at the Pakistan Islamabad facility. Training shall cover operation, maintenance, calibration, and data interpretation of all procured equipment. A minimum of ten (10) personnel shall be trained.
- Intellectual Property: All data collected using the Oceanographer equipment shall remain the sole property of the buyer. The supplier shall not claim any rights over research data generated in Pakistan Islamabad.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government sanctions, or events beyond reasonable control. However, the supplier must notify the buyer within forty-eight (48) hours of any such event affecting delivery to Pakistan Islamabad.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes shall be resolved through arbitration in Pakistan Islamabad under the rules of the Arbitration Council of Pakistan.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms of this Purchase Order and any proprietary Oceanographer technology specifications shared during the procurement process.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
