TERMS AND CONDITIONS
  1. Purpose: This Purchase Order is issued by the Instituto Oceanográfico del Pacífico for the acquisition of specialized oceanographic instrumentation and services to support the 2025 Oceanographer Research Program. All equipment shall be deployed and operated in the waters surrounding Peru Lima, including the Callao Port area, the Miraflores coastal zone, and the offshore Pacific continental shelf.
  2. Delivery: All items listed in this Purchase Order shall be delivered to the IOP facility at Av. La Marina 1025, Miraflores, Peru Lima, no later than August 15, 2025. Delivery shall be made DDP (Delivered Duty Paid) to the specified Peru Lima address. The seller is responsible for all international freight, customs clearance in Peru, and final delivery to the buyer's premises in Peru Lima.
  3. Quality and Standards: All Oceanographer-grade equipment must comply with ISO 17025 calibration standards and meet the technical specifications outlined in Annex A of this Purchase Order. Each instrument must arrive with a valid calibration certificate traceable to national metrology standards.
  4. Warranty: The seller shall provide a minimum 24-month warranty on all Oceanographer equipment from the date of acceptance in Peru Lima. Warranty coverage includes parts, labor, and on-site repair services within the Lima metropolitan area.
  5. Payment: Payment shall be made in U.S. Dollars via international wire transfer within 45 calendar days of the buyer's written acceptance of all delivered goods and services in Peru Lima. A 10% retention shall be withheld until completion of the on-site training program in Peru Lima.
  6. Compliance: The seller acknowledges that this Purchase Order is subject to Peruvian import regulations, including compliance with the Superintendencia Nacional de Aduanas y de Administración Tributaria (SUNAT) and the Peruvian Ministry of Production. All Oceanographer equipment must carry appropriate CE and FCC certifications.
  7. Intellectual Property: All data collected using the purchased Oceanographer equipment in the waters of Peru Lima shall remain the exclusive property of the Instituto Oceanográfico del Pacífico. The seller grants no rights to research data generated during the program.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Lima, Peru, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima. The governing law shall be the commercial code of the Republic of Peru.
  9. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, or events beyond reasonable control, including but not limited to El Niño weather patterns affecting the Peru Lima coastline.
