3. TERMS AND CONDITIONS
  1. Validity: This Purchase Order is valid for thirty (30) calendar days from the date of issue. The Oceanographer must confirm acceptance in writing within five (5) business days, otherwise this Purchase Order shall be considered lapsed.
  2. Performance Period: All fieldwork and laboratory activities must be completed within sixty (60) calendar days from the date of contract commencement. The final Oceanographic Assessment Report must be submitted no later than July 15, 2025.
  3. Payment Terms: Payment shall be made in three (3) installments: 30% upon contract signing, 40% upon completion of all fieldwork in the Philippines Manila coastal zone, and 30% upon acceptance of the final report by the MERAD Technical Review Board.
  4. Compliance: The Oceanographer shall comply with all applicable Philippine laws, including the Philippine Environmental Management System (PES), the National Internal Revenue Code of the Philippines, and the standards set by the Philippine Institute of Volcanology and Seismology (PHIVOLCS) and the Department of Environment and Natural Resources (DENR).
  5. Intellectual Property: All data, reports, maps, and analyses produced under this Purchase Order shall be the exclusive property of MERAD and the Government of the Philippines. The Oceanographer grants a non-exclusive, royalty-free license for government use.
  6. Insurance and Liability: The Oceanographer shall maintain professional liability insurance with a minimum coverage of PHP 5,000,000.00 for the duration of the engagement in the Philippines Manila area. All personnel deployed shall be covered under the Social Security System (SSS) and Philippine Health Insurance Corporation (PhilHealth).
  7. Force Majeure: Neither party shall be liable for delays caused by typhoons, volcanic activity, or other natural disasters affecting the Philippines Manila region, provided that written notice is given within 48 hours of the event.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Philippine Center for International Law, and failing that, through the courts of competent jurisdiction in the Philippines Manila metropolitan area.
  9. Confidentiality: The Oceanographer agrees to maintain strict confidentiality of all sensitive environmental data collected in the Philippines Manila waters and shall not disclose findings to third parties without written authorization from MERAD.
