All goods specified in this Purchase Order shall be delivered to the Arctic Oceanographic Research Institute facility located at 12 Leninsky Prospekt, Building 4, Russia Moscow, 119021. The seller is responsible for all packaging, crating, and secure transport in accordance with DDP (Delivered Duty Paid) terms as defined by Incoterms 2020. The delivery address in Russia Moscow is the final point of responsibility for the seller. All oceanographic instruments must be shipped in climate-controlled, shock-absorbing containers suitable for sensitive scientific equipment. The Oceanographer designated to receive and inspect the shipment is Dr. Mikhail A. Petrov, who will conduct a full functional verification within five (5) business days of arrival in Russia Moscow. Any discrepancies, damage, or calibration deviations must be reported in writing to the seller within the same five-day window.
- Payment: Full payment of USD 615,401.00 shall be remitted via international wire transfer to the seller's designated bank account within forty-five (45) calendar days from the date of confirmed delivery and acceptance in Russia Moscow. Late payments shall accrue interest at a rate of 1.5% per month.
- Warranty: All equipment is covered by a minimum two-year manufacturer's warranty from the date of delivery. The Oceanographer team will perform quarterly calibration checks, and the seller shall provide remote technical support for the duration of the warranty period.
- Compliance: All items must comply with the Federal Law of the Russian Federation on Import Control and the relevant customs regulations applicable to scientific and research equipment entering Russia Moscow. The seller shall provide all necessary export documentation, certificates of origin, and technical data sheets.
- Intellectual Property: The software license for OceanBase Pro is granted exclusively to the Arctic Oceanographic Research Institute for use by its Oceanographer staff. Redistribution or sublicensing is strictly prohibited.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting shipments to Russia Moscow.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Stockholm, Sweden, under the rules of the Arbitration Institute of the Stockholm Chamber of Commerce.
- Confidentiality: All technical specifications, research methodologies, and data associated with the Oceanographer's work program are classified as confidential. The seller agrees to maintain strict confidentiality and shall not disclose any project details to third parties without written consent from the buyer.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The buyer confirms that the funds for this acquisition have been allocated from the institute's annual research budget approved for the Oceanographer program in Russia Moscow.
