2. Purpose and Scope of This Purchase Order

This Purchase Order is issued by the Institute of Oceanographic Sciences, Northern Branch, located in Russia Saint Petersburg, to procure specialized oceanographic research equipment, calibration instruments, and technical support services required for the deployment of a senior Oceanographer and their research team. The Oceanographer, Dr. Mikhail A. Sokolov, will be conducting a comprehensive hydrographic and bathymetric survey of the Gulf of Finland and the adjacent waters of the Baltic Sea as part of the 2025–2026 Northern Maritime Research Programme. All goods and services specified in this Purchase Order shall be delivered, installed, and made operational at the research facility in Russia Saint Petersburg no later than 1 August 2025. The Oceanographer and the research team require fully calibrated, certified, and operational equipment prior to the commencement of fieldwork in the Baltic Sea region.

4. Payment Terms

Payment for this Purchase Order shall be made in three installments via international wire transfer to the Seller's designated bank account. The first installment of 40 percent ($284,440.00) is due within ten (10) business days of the Buyer's written acceptance of this Purchase Order. The second installment of 40 percent ($284,440.00) is due upon confirmed shipment of all goods from the Seller's facility in Hamburg, Germany, with a copy of the Bill of Lading. The final installment of 20 percent ($142,220.00) is due within fifteen (15) business days after successful delivery, installation, and acceptance of all equipment at the research facility in Russia Saint Petersburg, as certified by the lead Oceanographer in writing. All payments are subject to the terms of the applicable international trade agreements and Russian Federation import regulations.

5. Delivery, Installation, and Acceptance

All equipment specified in this Purchase Order shall be delivered on a DDP (Delivered Duty Paid) basis to the Institute of Oceanographic Sciences, Northern Branch, 12 Vasilyevsky Island Embankment, Russia Saint Petersburg, 199034, Russian Federation. The Seller is responsible for all packaging, international shipping, export and import documentation, customs clearance in the Russian Federation, and final-mile delivery to the designated receiving dock in Russia Saint Petersburg. Upon arrival, the Oceanographer and a designated technical representative of the Buyer shall inspect all items for damage, completeness, and conformity with the specifications outlined in this Purchase Order. A formal Acceptance Certificate must be signed by the Oceanographer before the final payment installment becomes due. The Seller's technical team shall be present in Russia Saint Petersburg for a minimum of five (5) business days to perform full calibration, system integration, and hands-on training for the Oceanographer and the research team.

6. Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All terms herein govern the procurement of oceanographic equipment and services for the Oceanographer programme in Russia Saint Petersburg.
  2. All equipment must comply with the International Organization for Standardization (ISO) 17123-1 and the relevant Russian Federation GOST standards for marine and oceanographic instrumentation. The Oceanographer reserves the right to reject any item that does not meet these specifications.
  3. The Seller warrants that all goods are new, unused, and free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance in Russia Saint Petersburg.
  4. Any delay in delivery beyond the dates specified in this Purchase Order shall incur a penalty of 0.5 percent of the total contract value per calendar day of delay, up to a maximum of 10 percent. Delays exceeding thirty (30) days entitle the Buyer to cancel this Purchase Order in its entirety and seek a full refund of all payments made.
  5. The Seller shall provide all necessary export licenses, certificates of origin, and import documentation required for the lawful entry of the equipment into the Russian Federation. The Buyer shall provide any import permits or research authorization letters required by Russian authorities for the Oceanographer programme.
  6. Intellectual property in all software, firmware, and proprietary data associated with the equipment shall remain the property of the Seller. The Buyer and the Oceanographer are granted a perpetual, non-exclusive license to use such software for research purposes at the Russia Saint Petersburg facility.
  7. Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The language of arbitration shall be English.
  8. This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG), supplemented by the laws of the Federal Republic of Germany where applicable.
  9. Neither party shall be liable for delays or failures caused by acts of God, war, sanctions, government embargoes, or other force majeure events. In such cases, the affected party shall notify the other in writing within five (5) business days.
  10. All communications regarding this Purchase Order shall be conducted in English and directed to the contact persons listed in Section 1. Electronic communications via email shall be considered valid and binding.
7. Authorization and Signatures

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of oceanographic equipment and services for the Oceanographer research programme to be conducted in Russia Saint Petersburg, Russian Federation.
