This Purchase Order is issued by the Red Sea Marine Research Institute to formally engage the services of a qualified Oceanographer and procure associated oceanographic instrumentation for a comprehensive marine survey programme to be conducted along the coastal waters of Saudi Arabia Jeddah. The Oceanographer shall oversee all field operations, data acquisition, laboratory analysis, and the preparation of final scientific reports in accordance with the standards set by the Saudi Commission for Environmental Quality and the International Oceanographic Commission.

1. Scope and Compliance: The Oceanographer engaged under this Purchase Order shall conduct all marine survey activities in strict compliance with the Saudi Environmental and Wildlife Authority (SEWA) regulations, the Saudi Commission for Environmental Quality (SCEQ) guidelines, and the applicable maritime laws of the Kingdom of Saudi Arabia. All fieldwork shall be conducted within the designated survey zone off the coast of Saudi Arabia Jeddah, between the Jeddah Islamic Port and the Al Shati breakwater, extending to a depth of 200 metres.

2. Professional Qualifications: The Oceanographer must hold a minimum of a Master's degree in Oceanography, Marine Science, or a closely related discipline, with no fewer than ten (10) years of documented field experience in tropical and subtropical marine environments. A valid professional licence issued by the Saudi Council of Engineers or the relevant Saudi professional body shall be presented prior to commencement of work.

3. Delivery and Acceptance: All oceanographic equipment listed in this Purchase Order shall be delivered to the Red Sea Marine Research Institute facility in Jeddah, Saudi Arabia, no later than 30 June 2025. The Oceanographer shall be responsible for the initial calibration, installation, and commissioning of all instruments. Acceptance shall be confirmed in writing by the Institute's Project Director within fourteen (14) calendar days of delivery.

4. Payment Schedule: Payment shall be made in three (3) instalments: (a) 30% upon signing of this Purchase Order; (b) 40% upon completion of the mid-term survey and submission of the interim report; (c) 30% upon final acceptance of the completed scientific report and all data deliverables. All payments shall be made via bank transfer to the account specified by the Oceanographer and shall be subject to the Net 30-day payment terms stated above.

5. Health, Safety, and Environmental Protection: The Oceanographer and all associated personnel shall adhere to the occupational health and safety standards mandated by the Saudi Ministry of Human Resources and Social Development. All field operations in the waters of Saudi Arabia Jeddah shall be conducted in accordance with the International Maritime Organization (IMO) safety regulations and local port authority requirements. No discharge of pollutants, fuel, or waste materials into the marine environment is permitted under any circumstances.

6. Intellectual Property and Data Ownership: All data, reports, maps, and scientific findings generated under this Purchase Order shall be the exclusive property of the Red Sea Marine Research Institute. The Oceanographer may reference the work in academic publications only with prior written consent from the Institute and in compliance with Saudi data protection regulations.

7. Force Majeure and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of force majeure, including but not limited to severe weather events, government-imposed maritime restrictions, or acts of war. In the event of termination, the Oceanographer shall be compensated for all work completed and equipment procured up to the date of termination.

8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this agreement shall be resolved through arbitration in Jeddah, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration.
