This Purchase Order is issued to formally procure the professional services of a qualified Oceanographer to conduct comprehensive marine and hydrological assessments in support of the Kingdom of Saudi Arabia's National Water Security Strategy. The Oceanographer shall be engaged to perform the following duties and deliverables within the jurisdiction of Saudi Arabia, Riyadh and its surrounding coastal and inland water systems:

All services under this Purchase Order shall be executed primarily in Saudi Arabia, Riyadh, with fieldwork extending to designated coastal monitoring stations along the Red Sea shoreline as specified in Annex A of the contract. The Oceanographer shall maintain a primary operational base at the Ministry of Environment, Water and Agriculture headquarters in Riyadh and shall be available for on-site engagement during standard business hours (Sunday through Thursday, 8:00 AM to 4:30 PM, Saudi Arabian Standard Time). All reports, data submissions, and official correspondence shall be directed to the Riyadh office and shall be prepared in both Arabic and English in compliance with Kingdom regulatory requirements.
4. Terms and Conditions- Commencement: The Oceanographer shall commence all activities no later than 1 July 2025, subject to final visa and work permit clearance by the Saudi Ministry of Human Resources and Social Development.
- Duration: The engagement period under this Purchase Order shall be 180 calendar days from the date of commencement, with the possibility of a single 90-day extension upon mutual written agreement.
- Payment Terms: Payment shall be made in three equal installments: 40% upon execution of this Purchase Order, 35% upon delivery and acceptance of the hydrological impact assessment report, and 25% upon final completion and acceptance of all deliverables. All payments shall be processed via bank transfer to the supplier's designated account in Saudi Arabia.
- Compliance: The Oceanographer shall comply with all applicable laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Environmental Protection Law, the Water Law, and the regulations issued by the Saudi Standards, Metrology and Quality Organization (SASO).
- Intellectual Property: All data, reports, and deliverables produced under this Purchase Order shall be the exclusive property of the Buyer. The Oceanographer shall not publish or disseminate any findings without prior written consent from the Ministry.
- Confidentiality: The Oceanographer agrees to maintain strict confidentiality regarding all sensitive environmental data collected in Saudi Arabia, Riyadh and its surrounding regions, in accordance with the Kingdom's data protection regulations.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Oceanographer shall be compensated for all services rendered up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through the competent courts in Riyadh.
- Insurance: The Oceanographer shall maintain comprehensive professional liability insurance with a minimum coverage of SAR 2,000,000 for the duration of the engagement.
