All equipment specified in this Purchase Order shall be delivered, fully assembled and calibrated, to the receiving address in Spain Barcelona no later than 30 July 2025. The supplier shall coordinate delivery with the Oceanographer's logistics team at the Port Vell facility. Delivery shall be made Monday through Friday, 08:00–17:00 CET. The supplier is responsible for all shipping, insurance, and customs clearance (if applicable for imported components) until the goods are signed for at the Spain Barcelona receiving dock. Risk of loss transfers to the Oceanographer upon written acceptance at the delivery site.
5. PAYMENT TERMSPayment for this Purchase Order shall be made via bank transfer to the supplier's designated account. The payment schedule is as follows: 40% (€126,991.92) due upon signing and acceptance of this Purchase Order; 40% (€126,991.92) due upon confirmed delivery and inspection at the Spain Barcelona facility; and 20% (€63,495.96) due within 30 days after successful completion of the training and installation service. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with Spanish commercial law applicable in Spain Barcelona.
6. QUALITY, WARRANTY, AND COMPLIANCEAll instruments and services procured under this Purchase Order must comply with the European Union's Marine Equipment Directive (MED) 2014/90/EU and the applicable Spanish regulations governing oceanographic research conducted from the waters of Spain Barcelona. The supplier warrants that all equipment is new, free from defects, and accompanied by full manufacturer documentation, calibration certificates, and safety data sheets. A minimum warranty period of 24 months from the date of delivery applies to all hardware items. The Oceanographer reserves the right to reject any item that fails to meet the specifications outlined in this Purchase Order, and the supplier shall replace or repair non-conforming goods within 15 business days at no additional cost.
7. GOVERNING LAW AND DISPUTE RESOLUTIONThis Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with specific reference to the commercial codes applicable in the region of Spain Barcelona, Catalonia. Any disputes arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered by the Barcelona Chamber of Commerce (Cámara de Comercio de Barcelona), seated in Spain Barcelona. The language of arbitration shall be Spanish, with English translations provided for all technical documentation.
8. ACCEPTANCE AND SIGNATURESBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of oceanographic research equipment and services for the Oceanographer based in Spain Barcelona.
