All items specified in this Purchase Order shall be delivered to the Nile Valley Research & Oceanographic Institute premises at El-Merghni Street, Omdurman, Sudan Khartoum, in accordance with DDP (Delivered Duty Paid) terms. The supplier is responsible for all transportation, insurance, customs clearance, and final delivery within the Sudan Khartoum metropolitan area. The Oceanographer vessel and all associated equipment must arrive no later than 30 November 2025 to allow for installation, calibration, and the commencement of the 2026 survey season. Partial deliveries are not permitted; all line items must be received as a single consignment.
- 30% Advance Payment: USD 315,782.25 due within 14 business days of signed acceptance of this Purchase Order, via irrevocable letter of credit issued by Bank of Khartoum, Sudan Khartoum branch.
- 40% on Shipment: USD 421,043.00 due upon presentation of Bill of Lading, Certificate of Origin, and packing list confirming dispatch of the Oceanographer system.
- 25% on Delivery & Acceptance: USD 263,151.88 due within 30 days of successful delivery, installation, and a 72-hour operational acceptance test conducted at the Sudan Khartoum facility.
- 5% Retention: USD 52,630.38 released 12 months after the acceptance test, provided no material defects in the Oceanographer equipment have been identified.
The supplier warrants that all Oceanographer equipment delivered under this Purchase Order shall be new, unused, of first quality, and free from defects in design, materials, and workmanship for a period of not less than twenty-four (24) months from the date of acceptance in Sudan Khartoum. All instrumentation shall comply with International Maritime Organization (IMO) standards, International Organization for Standardization (ISO) 9001:2015 quality management requirements, and the environmental regulations of the Republic of Sudan. The Oceanographer vessel shall carry valid classification society certification and be seaworthy for operations in the Red Sea and along the Nile waterways.
This Purchase Order becomes binding upon signature by both parties. The buyer, representing the Nile Valley Research & Oceanographic Institute in Sudan Khartoum, confirms that the Oceanographer system described herein meets the technical specifications outlined in Annex A (attached separately) and that the project has received all necessary governmental approvals from the Sudanese Ministry of Higher Education and the National Oceanographic Authority.
