This Purchase Order is issued by the Istanbul Marine Research Institute to procure specialized oceanographic instrumentation and field equipment required for the ongoing marine research program conducted by our senior Oceanographer, Dr. Elif Kaya, and her team. The Oceanographer assigned to this project will oversee the installation, calibration, and operational deployment of all instruments listed below. All items under this Purchase Order shall be delivered to the Istanbul Marine Research Institute facility located at Kuzguncuk Sahil Yolu No. 42, Turkey Istanbul, within sixty (60) calendar days from the date of this Purchase Order. The supplier is responsible for arranging all international freight, marine insurance, and customs brokerage services required to clear the shipment through the Turkish customs authority at the Port of Istanbul. The Oceanographer designated by IMRI, Dr. Elif Kaya, will be present at the time of delivery to inspect all instruments, verify calibration certificates, and confirm that each unit meets the specifications outlined in this Purchase Order.
Partial deliveries are not permitted. The entire shipment must arrive as a single consignment to ensure that the Oceanographer can conduct a unified calibration and integration session prior to the scheduled field deployment in the waters of Turkey Istanbul.
- Advance Payment: 30% of the total Purchase Order value (EUR 192,672.00) shall be remitted via irrevocable letter of credit within ten (10) business days of the supplier’s written acknowledgment of this Purchase Order.
- Balance Payment: The remaining 70% (EUR 449,568.00) shall be paid within fifteen (15) business days following successful delivery, inspection, and acceptance of all items by the Oceanographer at the Turkey Istanbul facility.
- Payment Currency: All transactions shall be settled in Euros (EUR) via wire transfer to the supplier’s designated bank account in Hamburg, Germany.
- Late Payment Penalty: A penalty of 1.5% per month shall apply to any overdue balance, in accordance with Turkish commercial law applicable to international trade transactions processed through Turkey Istanbul.
The supplier warrants that all instruments listed in this Purchase Order are new, unused, and free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery in Turkey Istanbul. The supplier shall provide on-site technical support in Istanbul for a minimum of five (5) business days following delivery to assist the Oceanographer and the IMRI technical team with installation, software configuration, and initial calibration of all oceanographic systems.
All equipment must comply with the International Maritime Organization (IMO) guidelines for marine research vessels and must carry valid CE marking for use within the European Economic Area and the Republic of Turkey. The Oceanographer reserves the right to reject any item that does not conform to the specifications stated in this Purchase Order, and the supplier shall replace or repair the non-conforming item at no additional cost within thirty (30) days.
Note: The Oceanographer and the IMRI team require that all underwater instruments be pre-configured for the specific salinity range (18–35 PSU) and temperature profile (8–28°C) characteristic of the Sea of Marmara and the Bosphorus Strait in Turkey Istanbul. The supplier shall include a pre-deployment calibration report tailored to these regional parameters. Additionally, all data logging software must support the Turkish national marine data repository format mandated by the Turkish State Meteorological Service (MGM) for research conducted in Turkish territorial waters.
This Purchase Order becomes effective upon the signature of both parties. By signing below, the supplier acknowledges the full scope of obligations described herein and commits to fulfilling all terms for the benefit of the Oceanographer and the Istanbul Marine Research Institute in Turkey Istanbul.
