This Purchase Order is issued by the Abu Dhabi Marine Research Authority to formally engage the services of a qualified Oceanographer for the purpose of conducting comprehensive marine environmental assessments, hydrographic surveys, and biodiversity monitoring across the coastal waters of United Arab Emirates Abu Dhabi. The Oceanographer shall be responsible for the following deliverables as outlined in this Purchase Order:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the specific commercial regulations applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Commercial Courts.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. A 30% advance payment shall be released upon acceptance of this Purchase Order. The remaining balance shall be disbursed in three equal monthly installments aligned with the project milestones defined in Section 3.
- Commencement and Completion: The Oceanographer shall commence all services no later than 21 July 2025. The full scope of work under this Purchase Order must be completed by 30 June 2026, unless otherwise extended in writing by both parties.
- Compliance: The Oceanographer shall comply with all environmental regulations issued by the Abu Dhabi Environment Agency, the UAE Ministry of Climate Change and Environment, and any applicable international marine research conventions.
- Intellectual Property: All data, reports, and findings generated under this Purchase Order shall remain the exclusive property of the Abu Dhabi Marine Research Authority. The Oceanographer grants a perpetual, irrevocable license for ADMRA to use, reproduce, and publish said materials.
- Confidentiality: The Oceanographer agrees to maintain strict confidentiality regarding all sensitive hydrographic and ecological data collected in United Arab Emirates Abu Dhabi waters. Breach of confidentiality shall result in immediate termination of this Purchase Order and financial penalties as stipulated in UAE law.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Oceanographer shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather conditions affecting marine operations in Abu Dhabi, government-mandated restrictions, or acts of God.
- Insurance: The Oceanographer shall maintain professional indemnity insurance with a minimum coverage of AED 2,000,000 and marine liability insurance for all equipment deployed in United Arab Emirates Abu Dhabi waters for the duration of this Purchase Order.
- Amendments: No modification to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Oceanographer's professional services in United Arab Emirates Abu Dhabi.
