  1. This Purchase Order is governed by the commercial laws of the United Arab Emirates and the specific trade regulations applicable within Dubai, United Arab Emirates. Any disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts.
  2. All oceanographer-grade equipment listed in this Purchase Order must comply with the International Organization for Standardization (ISO) 17025 laboratory accreditation standards and the United Arab Emirates National Metrology Institute (NAM) calibration requirements.
  3. The Supplier shall deliver all physical goods to the Dubai Marine Research & Oceanography Institute premises at Jumeirah Science Park, Dubai, United Arab Emirates, no later than 30 July 2025. Delivery shall include full installation, commissioning, and a 72-hour operational test period supervised by a qualified Oceanographer from the Supplier's technical team.
  4. Professional Oceanographer consulting services and the 12-week training program shall commence within 14 business days of the Purchase Order acceptance date and shall be conducted on-site in Dubai, United Arab Emirates. The Supplier guarantees that all Oceanographer instructors hold a minimum of a Master's degree in Oceanography or a related marine science discipline.
  5. Payment shall be made via bank transfer to the Supplier's designated account in the United Arab Emirates within 45 calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at a rate of 1.5% per month as per UAE commercial practice.
  6. The Supplier warrants that all oceanographer instrumentation is new, unused, and free from defects for a period of 24 months from the date of installation in Dubai. During this warranty period, the Supplier shall provide remote and on-site technical support within 48 hours of a reported fault.
  7. All data collected using the equipment purchased under this Purchase Order shall remain the exclusive intellectual property of the Dubai Marine Research & Oceanography Institute. The Supplier shall not retain, replicate, or distribute any Oceanographer research data generated during the term of this agreement.
  8. This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications shall be binding. Any change in scope, quantity, or delivery location within the United Arab Emirates Dubai region must be documented in a formal Purchase Order amendment.
  9. The Supplier shall maintain valid commercial insurance coverage of no less than AED 5,000,000 for all activities conducted in connection with this Purchase Order within the United Arab Emirates Dubai jurisdiction.
  10. This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the procurement of Oceanographer equipment and services in Dubai.

By signing below, both parties acknowledge and agree to all terms, conditions, line items, and obligations set forth in this Purchase Order for the procurement of Oceanographer equipment, instruments, and professional services in the United Arab Emirates Dubai.
