Scope of Work – Oceanographer Services and Equipment

This Purchase Order is issued by Meridian Marine Research Solutions Ltd., a research and consultancy firm based in Manchester, United Kingdom, to engage the professional services of Dr. Eleanor Whitfield, a qualified Oceanographer, for the purpose of conducting comprehensive marine environmental assessments, hydrographic surveys, and coastal water quality monitoring in support of the Manchester Maritime Heritage and Coastal Resilience Programme. The Oceanographer shall provide all technical expertise, fieldwork, laboratory analysis, and reporting as detailed in the line items below. All work shall be performed in accordance with the standards set by the UK Marine Management Organisation (MMO) and the International Hydrographic Organization (IHO) guidelines applicable within United Kingdom territorial waters.

All prices are quoted in British Pounds Sterling (GBP). VAT is charged at the standard United Kingdom rate of 20%. The Oceanographer must provide a valid VAT-registered invoice for each payment milestone.

Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Meridian Marine Research Solutions Ltd. (hereinafter "the Buyer") and Whitfield Oceanographic Consulting Ltd., represented by Dr. Eleanor Whitfield, Oceanographer (hereinafter "the Supplier"), upon acceptance and signature by both parties.
  2. The Oceanographer shall commence all fieldwork and laboratory activities no later than 01 September 2025 and shall complete all deliverables by 31 March 2026, unless otherwise agreed in writing by the Buyer's project manager based in Manchester, United Kingdom.
  3. All data, reports, and intellectual property generated by the Oceanographer under this Purchase Order shall become the sole property of Meridian Marine Research Solutions Ltd. upon full payment of the Grand Total specified herein.
  4. The Oceanographer shall maintain full professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of the contract, with certificates of insurance to be provided to the Buyer prior to commencement of work in Manchester.
  5. Payment shall be made in three (3) milestones: 40% upon commencement of fieldwork, 40% upon delivery of the interim data package, and 20% upon final acceptance of the completed Oceanographer report. Each payment is due within thirty (30) calendar days of receipt of a valid invoice.
  6. The Oceanographer shall comply with all applicable United Kingdom environmental legislation, including the Marine and Coastal Access Act 2009, the Environmental Protection Act 1990, and any local bylaws applicable to the Manchester and North West England coastal zones.
  7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination, as certified by the Oceanographer.
  8. All disputes arising from this Purchase Order shall be resolved through mediation in Manchester, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, the matter shall be referred to the courts of England and Wales.
  9. The Oceanographer shall not subcontract any portion of the work described in this Purchase Order without the prior written consent of the Buyer. Any approved subcontractor shall be bound by the same terms and conditions.
  10. This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom. The exclusive jurisdiction for any legal proceedings shall be the courts of Manchester, United Kingdom.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by the terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Oceanographer in Manchester, United Kingdom.
