This Purchase Order is issued by the Great Lakes Marine Research Institute, a non-profit research organization headquartered in United States Chicago, Illinois. The engagement of the Oceanographer, Dr. James A. Whitfield, is governed by the terms set forth herein and by applicable federal, state, and local regulations within the United States Chicago jurisdiction.
The Oceanographer shall comply with all environmental protection standards established by the United States Environmental Protection Agency (EPA) and the Illinois Environmental Protection Agency (IEPA). All fieldwork conducted in United States Chicago waters must adhere to the U.S. Army Corps of Engineers permit requirements and the City of Chicago Department of Transportation navigational safety protocols.
The Oceanographer warrants that all data collected, analyses performed, and reports generated under this Purchase Order shall be original, accurate, and free from intellectual property infringement. All deliverables become the sole property of the purchasing entity upon full payment. The Oceanographer retains the right to reference the project in academic publications, subject to a 90-day prior review period by the Institute.
Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Chicago, Illinois, in accordance with the rules of the American Arbitration Association. The governing law for this Purchase Order is the law of the State of Illinois, United States.
NOTE: This Purchase Order is valid for acceptance within fourteen (14) calendar days of the issue date. The Oceanographer must confirm acceptance in writing via email to [email protected]. Failure to confirm within the stated period shall render this Purchase Order null and void. All work must be performed within the United States Chicago metropolitan area unless otherwise authorized in writing by the Director of Procurement.
