All items listed in this Purchase Order shall be delivered to the Gulf Coast Marine Research Institute facility at 4820 Research Boulevard, Suite 300, United States Houston, Texas 77057. Delivery must be completed no later than July 25, 2025, to allow the Oceanographer sufficient time for instrument calibration, integration testing, and field deployment preparation ahead of the August 2025 Gulf of Mexico survey season. All oceanographic equipment must be shipped in manufacturer-approved protective packaging with appropriate shock and moisture protection. The Seller is responsible for all freight charges, insurance, and customs documentation as applicable within the United States.
- Acceptance: This Purchase Order constitutes a binding offer. Acceptance by the Seller shall be confirmed in writing within five (5) business days of receipt. Failure to confirm within this period shall be construed as rejection of this Purchase Order.
- Quality Assurance: All oceanographic instruments must arrive with valid calibration certificates traceable to NIST standards. The Oceanographer designated as the receiving authority shall conduct a 72-hour operational verification upon delivery. Any equipment failing to meet the specifications outlined in this Purchase Order shall be returned at the Seller's expense.
- Warranty: The Seller shall provide a minimum two-year comprehensive warranty on all items. The AUV (Item 003) shall carry a three-year warranty covering all mechanical, electronic, and software components.
- Payment: Payment of the total Purchase Order amount of $303,631.25 shall be made via wire transfer to the Seller's designated account within thirty (30) calendar days of the Buyer's written acceptance of all delivered goods. Late payments shall accrue interest at a rate of 1.5% per month.
- Compliance: All equipment must comply with applicable United States federal and Texas state regulations for marine research operations. The Seller warrants that all items are free of liens and encumbrances.
- Intellectual Property: All proprietary software and firmware included with the oceanographic instruments shall be licensed to the Buyer for unlimited use by the Oceanographer and research staff at the Houston facility.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Harris County, United States Houston, Texas.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, natural disasters, or government actions beyond reasonable control, provided written notice is given within 48 hours of the event.
