Terms & Conditions
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon written acceptance by both parties. All terms are governed by the commercial laws of the State of California, United States.
- All equipment and services procured under this Purchase Order are intended exclusively for the use of the designated Oceanographer, Dr. Alan Reyes, and his support team in the execution of the Southern California coastal survey program. Diversion of equipment to any other purpose without written consent is prohibited.
- The Supplier warrants that all instruments and systems delivered shall conform to the specifications outlined in this Purchase Order and shall be free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery in United States Los Angeles.
- Delivery of all items shall be made to the Buyer's facility at 4500 Ocean View Boulevard, Los Angeles, California 90036, United States. Risk of loss transfers to the Buyer upon signed delivery receipt at the designated dock.
- Payment shall be remitted within thirty (30) calendar days of the Supplier's invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code Section 2310.
- The Oceanographer and all field personnel shall comply with all applicable federal, state, and local regulations, including but not limited to U.S. Coast Guard safety standards, California Environmental Quality Act (CEQA) requirements, and National Oceanic and Atmospheric Administration (NOAA) data reporting protocols.
- Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements are not binding.
- The Supplier shall maintain comprehensive liability insurance with a minimum coverage of $5,000,000 per occurrence for all operations conducted in or around the waters of United States Los Angeles.
- Confidentiality: All data collected by the Oceanographer under this contract, including bathymetric maps, water quality readings, and sediment analyses, shall remain the exclusive property of the Buyer. The Supplier shall not disclose, publish, or share such data with third parties without prior written authorization.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, United States, in accordance with the rules of the American Arbitration Association.
