All physical equipment listed in this Purchase Order shall be delivered to the Buyer's primary laboratory facility located at 1200 Harbor Boulevard, Suite 450, United States New York City, NY 10001. Delivery is expected no later than August 1, 2025. The Seller is responsible for all packaging, crating, and insurance of goods in transit. The Oceanographer research team will be present at the time of delivery to inspect and verify the condition of all oceanographic instruments. Title and risk of loss shall transfer to the Buyer upon signed delivery confirmation at the United States New York City receiving dock.
Payment for this Purchase Order shall be made via wire transfer to the Seller's designated bank account. The payment schedule is as follows: (a) 30% deposit due upon execution of this Purchase Order; (b) 50% due upon confirmed shipment and delivery to United States New York City; and (c) the remaining 20% due within thirty (30) calendar days following successful installation, calibration, and acceptance by the Oceanographer research team. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
The Seller warrants that all oceanographic equipment supplied under this Purchase Order shall be new, free from defects in materials and workmanship, and fully compliant with the specifications outlined by the Buyer's Oceanographer. A minimum two-year manufacturer's warranty is included with all hardware items. The Buyer reserves the right to reject any item that fails to meet the performance standards required for the Oceanographer's research protocols. Acceptance testing shall be conducted at the United States New York City facility within fifteen (15) business days of delivery.
8.1. This Purchase Order constitutes the entire agreement between the Buyer and Seller regarding the procurement of oceanographic equipment and services described herein and supersedes all prior negotiations, representations, or agreements.
8.2. This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any disputes arising from this Purchase Order shall be resolved in the state or federal courts located in United States New York City.
8.3. The Seller shall comply with all applicable federal, state, and local regulations in the United States New York City jurisdiction, including but not limited to environmental handling requirements for oceanographic sampling equipment.
8.4. Neither party may assign this Purchase Order without the prior written consent of the other party. The Oceanographer research program is confidential, and all data, specifications, and methodologies shared under this Purchase Order shall remain the proprietary property of the Buyer.
8.5. Force majeure events, including but not limited to natural disasters affecting the United States New York City harbor or coastline, shall excuse timely performance for a period not exceeding sixty (60) days.
