TERMS AND CONDITIONS1. Payment Terms: Net 45 days from date of invoice. Payment shall be made via wire transfer to the vendor's designated account. This Purchase Order is issued by the San Francisco Oceanographic Research Institute and is subject to the financial approval of the Institute's Board of Directors.
2. Delivery: All items listed in this Purchase Order must be delivered to the Dockside Laboratory at Pier 45, United States San Francisco, CA 94107, no later than July 15, 2025. Late delivery penalties of 1.5% of the total Purchase Order value per calendar day of delay shall apply.
3. Inspection and Acceptance: The Lead Oceanographer, Dr. Elena Vasquez, or her designated representative shall inspect all delivered equipment within five (5) business days of arrival at the United States San Francisco facility. Any defects, missing components, or calibration discrepancies must be reported in writing to the vendor within the inspection window.
4. Warranty: All hardware items carry a minimum two-year manufacturer's warranty from the date of delivery. Software licenses are covered under the vendor's standard service-level agreement. Warranty claims for equipment used in the Oceanographer's field research programs shall be honored without restriction.
5. Compliance: All equipment must comply with applicable United States federal and California state regulations, including but not limited to NOAA marine research guidelines, California Environmental Quality Act (CEQA) requirements, and U.S. Coast Guard safety standards for operations in United States San Francisco waters.
6. Intellectual Property: All data collected using the equipment purchased under this Purchase Order by the Oceanographer and research team belongs exclusively to the San Francisco Oceanographic Research Institute. The vendor retains no rights to research data or findings.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes shall be resolved in the courts of San Francisco County, United States San Francisco.
8. Cancellation: The Institute reserves the right to cancel or modify this Purchase Order in whole or in part prior to shipment with written notice. Cancellation after shipment shall be subject to a 20% restocking fee.
