All physical goods listed in this Purchase Order shall be delivered to the Marine and Hydrological Research Laboratory, Tashkent State University of Technologies, Uzbekistan Tashkent, no later than 15 August 2025. The Oceanographer's on-site engagement shall commence within five (5) business days of equipment delivery and shall be completed within the sixty (60) day period specified in Item 03. The supplier guarantees that all instruments arrive fully calibrated, tested, and accompanied by bilingual (English and Uzbek) technical documentation suitable for use in Uzbekistan Tashkent.

  • Advance Payment: 30% of the total Purchase Order value (USD 47,595.00) shall be remitted via irrevocable letter of credit within ten (10) business days of mutual signature of this document.
  • Delivery Payment: 50% of the total Purchase Order value (USD 79,325.00) shall be due upon confirmed delivery and acceptance of all goods at the Uzbekistan Tashkent facility, verified by a joint inspection report signed by both parties.
  • Completion Payment: The remaining 20% (USD 31,730.00) shall be paid within thirty (30) days following the Oceanographer's completion of the full training and calibration program, subject to a satisfactory performance evaluation by the university's Oceanography Division.
  • All payments shall be made in US Dollars (USD) to the supplier's designated bank account. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
  • This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG) and, where applicable, the commercial laws of the Republic of Uzbekistan.
  • The Oceanographer engaged under this Purchase Order shall comply with all local regulations in Uzbekistan Tashkent, including visa requirements, work permit obligations, and data protection statutes of the Republic of Uzbekistan.
  • All equipment is warranted for a minimum of twenty-four (24) months from the date of delivery in Uzbekistan Tashkent. The Oceanographer's professional services are warranted for accuracy and completeness for the duration of the engagement.
  • The supplier shall provide a twelve (12) month post-delivery technical support contract, including remote diagnostics and one (1) additional on-site visit by the Oceanographer or a qualified representative to Uzbekistan Tashkent.
  • Intellectual property generated during the Oceanographer's research engagement in Uzbekistan Tashkent shall be jointly owned by the university and the supplier, with publication rights shared equally.
  • Disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, under the rules of the International Chamber of Commerce (ICC).
  • This Purchase Order becomes effective upon signature by both authorized representatives and remains valid until all obligations are fulfilled or the validity expiration date stated above, whichever is earlier.
