- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by DeepSea Oceanographer Systems International, Inc. within ten (10) business days of the date of issue. Failure to respond within this period shall be interpreted as acceptance.
- Delivery: All physical equipment shall be delivered DDP (Incoterms 2020) to the IIMAV facility in Venezuela Caracas, no later than August 15, 2025. Professional Oceanographer services shall commence no later than September 1, 2025, and conclude by February 28, 2026.
- Payment Terms: 30% advance payment upon Purchase Order acceptance; 40% upon verified delivery of all equipment to Venezuela Caracas; 30% upon successful completion and acceptance of the Oceanographer consulting services and final data delivery. Payments shall be made via irrevocable letter of credit issued by Banco de Venezuela, S.A., Caracas branch.
- Warranty: All Oceanographer-branded hardware carries a minimum 24-month warranty from the date of delivery in Venezuela Caracas. Software licenses include 12 months of technical support and updates.
- Compliance: The vendor shall comply with all applicable Venezuelan import regulations, environmental standards, and the specific requirements of the Venezuelan Ministry of Science and Technology for marine research equipment. All Oceanographer instruments must carry CE and ISO 9001 certifications.
- Intellectual Property: All data, reports, and methodologies generated by the Oceanographer during the engagement in Venezuela Caracas shall be the exclusive property of IIMAV. The vendor retains ownership of pre-existing proprietary software and hardware designs.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government sanctions, port closures, or other events beyond reasonable control, provided written notice is given within 72 hours of the event.
- Governing Law: This Purchase Order shall be governed by the laws of the Bolivarian Republic of Venezuela. Any disputes shall be resolved by arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje y Conciliación de Cámaras de Comercio de Venezuela.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the scope, findings, and data of the oceanographic research program conducted in and around Venezuela Caracas.
