All oceanographic equipment covered under this Purchase Order shall be delivered to the University of Zimbabwe, Department of Marine and Oceanographic Sciences, 154 Samora Machel Avenue, Harare, Zimbabwe. Delivery shall be made on a DDP (Delivered Duty Paid) basis to the specified location in Zimbabwe Harare. The supplier is responsible for all packaging, export documentation, international freight, customs clearance in Zimbabwe, and final delivery to the buyer's premises. The estimated delivery date is no later than 12 August 2025. All oceanographic instruments must be shipped in climate-controlled, shock-absorbing crates with appropriate humidity and temperature indicators to ensure integrity during transit to Zimbabwe Harare.
5. PAYMENT TERMS AND CONDITIONS- Payment Schedule: 30% advance payment upon acceptance of this Purchase Order; 50% upon shipment confirmation and presentation of Bill of Lading; 20% upon successful delivery, inspection, and commissioning in Zimbabwe Harare.
- Currency: All payments shall be made in United States Dollars (USD) via international wire transfer to the supplier's designated bank account.
- Payment Window: Each invoice is due within forty-five (45) calendar days from the date of invoice issuance, in accordance with the Net 45 payment terms stated in this Purchase Order.
- Warranty: The supplier guarantees a minimum of twenty-four (24) months warranty on all oceanographic instruments from the date of acceptance in Zimbabwe Harare. Warranty covers defects in materials and workmanship.
- Acceptance: The buyer shall have fourteen (14) calendar days from the date of delivery to inspect all oceanographic equipment. Any discrepancies, damage, or non-conformity must be reported in writing within this period.
- Intellectual Property: All software licenses accompanying the oceanographic instruments are granted to the University of Zimbabwe for perpetual, non-transferable academic use.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting delivery to Zimbabwe Harare.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes shall be resolved through arbitration in Harare, Zimbabwe.
The Oceanographer research team at the University of Zimbabwe requires all equipment to be fully calibrated prior to shipment. Calibration certificates traceable to NIST or equivalent national standards must accompany each instrument. The supplier shall provide a comprehensive technical manual in English for each oceanographic device. All training sessions referenced in Item No. 8 shall be conducted at the buyer's facility in Zimbabwe Harare by qualified supplier engineers. The supplier shall also provide a two-year spare parts and maintenance support contract at no additional cost, covering all oceanographic instruments listed in this Purchase Order.
