- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación, Ley 26.994) and applicable regulations of the City of Buenos Aires.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid Argentine electronic invoice (Factura Electrónica) issued in compliance with AFIP (Administración Federal de Ingresos Públicos) regulations. Payment shall be executed via bank transfer (transferencia bancaria) to the account designated by the Ophthalmologist or their authorized representative.

- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Buenos Aires metropolitan area.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration seated in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce (Cámara de Comercio Argentina). The language of arbitration shall be Spanish.
- Amendments: No modification to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties.
