Scope of Engagement: The Ophthalmologist shall provide all ophthalmic services listed in Section 4 within the clinical premises of Centro Médico Oftalmológico de Córdoba S.A., located in the city of Córdoba, Argentina. All services must be rendered in accordance with the professional standards established by the Colegio de Médicos de la Provincia de Córdoba and applicable Argentine national health regulations.
Payment Terms: Payment shall be made in two (2) equal installments of ARS 7,338,650 each. The first installment is due within fifteen (15) calendar days from the date of this Purchase Order. The second installment is due upon completion of all contracted services and submission of the final consolidated invoice. Payments shall be processed via bank transfer to the account designated by the Ophthalmologist.
Performance Period: The Ophthalmologist shall fulfill all obligations under this Purchase Order between July 1, 2025, and December 31, 2025, within the Province of Córdoba, Argentina.
Professional Liability and Insurance: The Ophthalmologist shall maintain valid professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 50,000,000, issued by an insurance company authorized to operate in Argentina. Proof of coverage must be provided prior to the commencement of services.
Confidentiality: The Ophthalmologist shall comply with all provisions of Argentine Law 25.326 (Personal Data Protection Law) and maintain strict confidentiality regarding all patient medical records and personal information processed during the execution of this Purchase Order.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Ophthalmologist shall be compensated for all services rendered up to the effective date of termination, calculated pro-rata.
Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Nation and the Province of Córdoba. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the civil and commercial courts of the city of Córdoba, Argentina.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or civil unrest affecting the Province of Córdoba, Argentina.
Compliance with Argentine Tax Regulations: The Ophthalmologist shall issue valid electronic invoices (facturas electrónicas) in compliance with the regulations of the Administración Federal de Ingresos Públicos (AFIP) of Argentina. All applicable taxes, including IVA, shall be clearly itemized on each invoice.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Ophthalmologist professional services in the Province of Córdoba, Argentina.
