Terms and Conditions
- This Purchase Order (PO CV-2025-0472) constitutes a binding agreement between Coastal Vision Ophthalmology Group Inc. (Buyer) and Pacific Medical Optics & Equipment Ltd. (Seller) upon written acceptance by both parties.
- All goods and services described in this Purchase Order shall be delivered to the Buyer's facility located in Canada Vancouver, British Columbia, no later than the Required Delivery Date specified above. Late delivery beyond five (5) business days entitles the Buyer to a 2% per diem penalty on the affected line items.
- The Seller warrants that all ophthalmic equipment supplied under this Purchase Order is new, unused, and fully compliant with Health Canada's Medical Devices Regulations. The Ophthalmologist and clinical team at the Canada Vancouver practice shall not be liable for any non-conforming or unregistered devices.
- Payment shall be made via Electronic Funds Transfer (EFT) to the Seller's designated Canadian bank account within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number.
- The Seller shall provide a minimum two-year manufacturer's warranty on all capital equipment (Items 1–4) and a one-year warranty on consumables and service contracts (Items 5–8). Warranty service must be performed at the Canada Vancouver clinic or at a certified service centre within British Columbia.
- All training services (Item 8) shall be conducted on-site at the Ophthalmologist's practice in Canada Vancouver during regular business hours (Monday to Friday, 8:00 AM to 5:00 PM Pacific Time). The Seller shall provide a minimum of two (2) full-day training sessions for the Ophthalmologist and up to four (4) additional clinical staff members.
- This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through mediation in Vancouver, BC, before proceeding to litigation in the Supreme Court of British Columbia.
- The Seller acknowledges that the Buyer is an Ophthalmologist-led medical practice and that all equipment must meet the clinical standards expected by the College of Physicians and Surgeons of British Columbia. Failure to meet these standards constitutes a material breach of this Purchase Order.
- Neither party may assign this Purchase Order without prior written consent of the other party. This Purchase Order may not be modified except by a written amendment signed by authorized representatives of both parties.
- All intellectual property, software licenses, and proprietary technology associated with the purchased ophthalmic equipment remain the property of the respective manufacturers. The Buyer receives a non-transferable, single-site license for use at the Canada Vancouver facility only.
