3. Purpose of This Purchase Order

This Purchase Order is issued by Beijing Vision Care Medical Group Co., Ltd. to procure specialized ophthalmic diagnostic equipment, surgical instruments, and consumable supplies required for the practice of our senior Ophthalmologist, Dr. Liang Wei, and the extended ophthalmology department. All items listed herein are intended to support advanced clinical procedures, patient diagnostics, and routine eye care services delivered within our facility located in China Beijing. This Purchase Order governs the acquisition of goods and services in full compliance with the National Medical Products Administration (NMPA) regulations of the People's Republic of China and all applicable local ordinances of the Chaoyang District, China Beijing.

5. Terms and Conditions
  1. Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by the Supplier within five (5) business days of the date of issue. Failure to confirm within this period shall constitute a rejection of this Purchase Order.
  2. Delivery: All goods shall be delivered DDP (Delivered Duty Paid) to the facility address in China Beijing specified in Section 1. The Supplier bears all transportation, insurance, customs clearance, and import duties within the People's Republic of China.
  3. Quality Assurance: All ophthalmic equipment and consumables must carry valid NMPA registration certificates and CE marking. The Ophthalmologist, Dr. Liang Wei, reserves the right to inspect and reject any item that does not meet the specifications outlined in this Purchase Order or applicable Chinese medical device standards (YY/T series).
  4. Warranty: The Supplier shall provide a minimum two-year comprehensive warranty on all capital equipment. Consumable items are warranted against manufacturing defects for a period of twelve (12) months from the date of delivery in China Beijing.
  5. Payment: Payment shall be made via bank transfer to the Supplier's designated account within forty-five (45) calendar days from the date of successful acceptance of goods by the Ophthalmologist and the hospital's biomedical engineering department.
  6. Intellectual Property: All software, firmware, and proprietary technology embedded in the delivered equipment remains the intellectual property of the Supplier. The Buyer is granted a non-transferable license for use within the China Beijing facility only.
  7. Compliance: This Purchase Order is subject to the Civil Code of the People's Republic of China, the Medical Device Supervision and Administration Regulations, and all applicable municipal regulations of China Beijing. Any disputes shall be resolved through arbitration at the Beijing Arbitration Commission.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in China Beijing.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, clinical protocols, and the terms of this Purchase Order. No information shall be disclosed to third parties without prior written consent.
