3. Scope of Purchase Order

This Purchase Order is issued by Guangzhou Vision Care Medical Center Co., Ltd. to procure the professional services of a certified Ophthalmologist, along with associated clinical diagnostic equipment and consumables, for deployment at our facility in China Guangzhou. 5. Payment Terms

Payment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the supplier's designated account in Guangzhou, China. The payment schedule is as follows: 40% advance payment upon execution of this Purchase Order; 40% upon delivery and installation of all equipment and commencement of the Ophthalmologist's service contract; and the remaining 20% upon successful completion of the 90-day performance review period. All payments are subject to the supplier providing valid VAT invoices (fapiao) in accordance with Chinese tax law.

6. Terms and Conditions
  1. Compliance: The Ophthalmologist engaged under this Purchase Order must hold a valid Medical Practicing License issued by the National Health Commission of the People's Republic of China and a subspecialty certification in Ophthalmology recognized by the Chinese Medical Association. All clinical activities must be conducted within the licensed scope of practice in China Guangzhou.
  2. Delivery & Installation: All equipment items listed in this Purchase Order shall be delivered to the Guangzhou Vision Care Medical Center facility within 30 calendar days of the Purchase Order issue date. Installation, calibration, and operator training for the Ophthalmologist and clinical staff shall be completed within 5 business days of delivery.
  3. Warranty: All capital equipment (Items 003, 004, 005) carries a minimum 24-month manufacturer warranty. The supplier shall coordinate all warranty claims and provide on-site technical support in Guangzhou within 48 hours of a reported malfunction.
  4. Confidentiality: The Ophthalmologist and all personnel engaged under this Purchase Order shall maintain strict confidentiality of patient medical records in accordance with the Personal Information Protection Law of the People's Republic of China and the Regulations on the Management of Medical Institutions.
  5. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Ophthalmologist's service contract shall wind down in an orderly manner to ensure continuity of patient care in China Guangzhou.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Guangzhou, China.
