  1. This Purchase Order is issued by Shanghai Vision Care Medical Group Co., Ltd. (hereinafter "the Buyer") for the engagement of Ophthalmologist Dr. Li Minghua (hereinafter "the Supplier") to provide specialized ophthalmological surgical and diagnostic services at the Buyer's facility located in China Shanghai, Pudong New Area.
  2. The Ophthalmologist shall maintain a valid medical practice license issued by the China Shanghai Municipal Health Commission throughout the entire contract period. Any lapse in licensure shall constitute immediate grounds for termination of this Purchase Order.
  3. All surgical procedures referenced in this Purchase Order shall be performed in accordance with the National Health Commission of the People's Republic of China guidelines for ophthalmic surgery and the specific protocols established by the China Shanghai Ophthalmology Quality Assurance Board.
  4. The Ophthalmologist shall provide a minimum of 45 retinal surgery procedures within the 90-day service window. Failure to meet this threshold shall entitle the Buyer to a pro-rata reduction of the total Purchase Order value.
  5. Payment shall be processed via bank transfer to the account designated by the Ophthalmologist within 30 calendar days of receipt of a valid invoice. The Buyer's accounts payable department in China Shanghai shall process all remittances in Chinese Yuan (CNY).
  6. The Ophthalmologist and all associated clinical staff shall comply with the data protection provisions of the Personal Information Protection Law of the People's Republic of China. All patient records generated under this Purchase Order shall be stored on servers physically located within China Shanghai.
  7. In the event of a dispute arising from the execution of this Purchase Order, both parties agree to first attempt resolution through mediation at the China Shanghai International Arbitration Center. If mediation fails, the matter shall be referred to the People's Court of Pudong New Area, China Shanghai.
  8. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. The specific administrative regulations of China Shanghai regarding medical service procurement shall apply where relevant.
  9. The Ophthalmologist warrants that all consumable materials and intraocular devices supplied under Item 004 of this Purchase Order carry valid NMPA (National Medical Products Administration) registration and meet the quality standards mandated for use in China Shanghai medical institutions.
  10. Either party may terminate this Purchase Order with 14 days' written notice in the event of material breach. Upon termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified herein.
