3. TERMS AND CONDITIONS- Payment Terms: Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon delivery and installation of all equipment in Egypt Cairo, and 20% upon successful completion of the Ophthalmologist training program and final acceptance inspection. All payments shall be processed via bank transfer to the Ophthalmologist's designated account at CIB (Commercial International Bank), Cairo Branch.
- Delivery: All physical goods must be delivered to the Nile Vision Medical Center premises at 12 Tahrir Square, Egypt Cairo, no later than 28 June 2025. The Ophthalmologist is responsible for coordinating with the Egyptian Customs Authority for import clearance of all medical devices listed in this Purchase Order.
- Warranty: All equipment shall carry a minimum two-year manufacturer's warranty. The Ophthalmologist shall provide an additional six-month service warranty on all installed systems, covering any defects in installation or calibration.
- Compliance: All items procured under this Purchase Order must comply with the regulations of the Egyptian Drug Authority (EDA) and the Egyptian Ministry of Health and Population. The Ophthalmologist shall provide all necessary import permits, CE markings, and EDA registration certificates prior to delivery.
- Professional Services: The Ophthalmologist shall personally oversee the installation, calibration, and initial operation of all surgical and diagnostic equipment. The Ophthalmologist shall also conduct the two-week training program for junior ophthalmologists at the Egypt Cairo facility, with a minimum of 120 contact hours.
- Penalties: In the event of delayed delivery beyond the stipulated date, a penalty of 0.5% of the total Purchase Order value per day of delay shall be applied, up to a maximum of 10% of the total value.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be resolved through the competent courts in Egypt Cairo.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order and any proprietary information exchanged during the procurement and training processes.
