- This Purchase Order is issued by Frankfurt Ophthalmology Center GmbH, a registered specialist Ophthalmologist practice located in Germany Frankfurt am Main, and constitutes a binding procurement request for all items listed above.
- All ophthalmic equipment and consumables referenced in this Purchase Order must comply with the European Medical Devices Regulation (EU) 2017/745 and must carry valid CE marking prior to delivery at the Germany Frankfurt clinic premises.
- The supplier acknowledges that the end-user is a licensed Ophthalmologist (Facharzt für Augenheilkunde) operating under the medical regulations of the State of Hesse, Germany. All surgical instruments and diagnostic devices must be certified for use in a German ophthalmology practice.
- Delivery of all items under this Purchase Order shall be made to the Ophthalmologist practice address in Germany Frankfurt (Seckenheimer Landstraße 245, 60389 Frankfurt am Main) no later than 01 August 2025. Late delivery shall incur a penalty of 0.5% of the total order value per calendar day of delay.
- Installation, calibration, and operator training for all major ophthalmic systems (Items 1–4 and 8–9) shall be performed by certified supplier technicians at the Germany Frankfurt facility. Training sessions must be conducted in German and English for the Ophthalmologist team and nursing staff.
- Payment shall be made via bank transfer (SEPA) within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-OFK-00472). The invoice must include the supplier's USt-IdNr. and reference the Ophthalmologist practice name as the recipient.
- All goods are warranted for a minimum of twenty-four (24) months from the date of installation at the Germany Frankfurt clinic. The warranty covers parts, labor, and on-site service by the supplier's authorized Ophthalmologist equipment technicians.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this procurement shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt am Main.
- The supplier shall maintain full confidentiality regarding the Ophthalmologist practice's patient data, operational procedures, and proprietary clinical workflows observed during installation and training at the Germany Frankfurt location, in accordance with the GDPR (EU) 2016/679.
- Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by both the authorized representative of the Ophthalmologist practice and the supplier. Verbal agreements are not binding.
